Banking origin and lender of record.

The record now permits a more precise question than whether a loan was simply “in arrears”. It is necessary to reconcile the amount said to be globally outstanding, the amount required to cure arrears, the contractual basis for acceleration, the 158-property auction schedule, the documented restructuring efforts and the consequences of placing only LPB—not the whole Sun Park perimeter—into insolvency.

Pending and contested: the current Valencia proceeding is described as the claim against the successor institution to the 2011–2012 lender. The present defendant is deliberately not identified in full here. No civil, professional, concursal, judicial or criminal liability finding is asserted.

Evidence status

Verified from primary documents: Monterecco Sun Park Limited acquired all LPB shares from Multimatrix Limited under a Tel Aviv deed dated 1 December 2011; the Spanish sole-shareholder publicity deed is dated 3 January 2012; the lender's 5 March 2012 correspondence used different figures for the global outstanding position and for curing arrears; and the Arrecife court diligence of 15 May 2012 scheduled 158 LPB properties for auction on 22 June 2012 at 10:00.

Verified procedural frame: LPB's voluntary filing entered the Commercial Court on 4 June 2012 and the insolvency was declared on 6 June. LPB alone was the debtor. The declaration recorded assets of €21,603,513.82 and liabilities of €10,186,394.72, while the historical insolvency test concerned regular ability to meet due obligations—not simply whether stated assets exceeded stated liabilities.

Still contested: whether the lender correctly classified the relationship as in default; whether acceleration and the execution calculation were contractually and legally valid; whether the information available to LPB was complete; and whether later acts or omissions prevented an effective exit or caused harm outside LPB's estate. Any assessment of professional advice remains privilege-sensitive and is not published here.

01

158—not 166

The numbered schedule attached to the 15 May 2012 diligence in Mortgage Execution 90/2012 runs from 1 to 158. Each property carried an auction type of €94,900.67, an aggregate scheduled type value of €14,994,305.86.

02

Different counts, different records

A later insolvency-administrator account refers to 159 apartments after prior sales, while an earlier summary layer referred to 166. Those figures are not to be substituted for the court's 158-property auction schedule without a property-by-property reconciliation.

Corrected chronology

Acquisition, restructuring effort, enforcement and filing

The economic acquisition, Spanish corporate publicity, bank calculations, auction order and insolvency filing are separate events and must remain separately dated.

1 December 2011 — acquisition from Multimatrix

The 3 January Spanish deed records that Monterecco Sun Park Limited had acquired all shares in Luchy Playa Blanca, S.L.U. from Multimatrix Limited by a Tel Aviv notarial deed dated 1 December 2011 and duly apostilled. The precise wider Aweswell–Monterecco economic and control chain remains subject to the complete corporate file.

2–3 January 2012 — management and sole-shareholder publicity

Gil Marer was appointed incoming sole director by sole-shareholder decision dated 2 January. Public deed no. 18 of 3 January recorded the change of LPB's sole shareholder to Monterecco Sun Park Limited.

11 January / 14 February 2012 — presentation and registration

The deed was presented to the Lanzarote Mercantile Registry on 11 January. The official BORME record identifies Monterecco Sun Park Limited as sole shareholder and gives the registry date as 14 February 2012. Official BORME entry.

28 February 2012 — viability and refinancing plan

A contemporaneous plan sought a five-year principal grace period, debt reduction and an operating restructure. It described Summers Villages, Sun Park Living and a third tour-operator lane, showing that direct, repeat-customer, resident and longer-stay distribution was already part of the recovery architecture before the insolvency filing.

5 March 2012 — two debt measures, not one

The lender stated a global outstanding position of €940,737.53 across the two facilities and estimated costs. In the same thread it separately stated that €54,653.80 was required to bring the second facility up to date. The unresolved question is not whether those numbers differ: it is whether the underlying account treatment, cure, acceleration and amount taken into execution were correct.

15 May 2012 — Arrecife auction diligence

Juzgado de Primera Instancia nº 1 de Arrecife, Mortgage Execution 90/2012, with Bankia, S.A.U. as claimant and LPB as defendant, scheduled 158 listed properties for auction. The diligence referred back to the execution order of 1 February 2012.

1–6 June 2012 — defensive filing sequence

The filing cover is dated 1 June, the application entered court on 4 June and the declaration followed on 6 June—before the auction fixed for 22 June. The filing followed documented restructuring efforts and was made under a time-critical enforcement timetable. That chronology supports a defensive rationale, but does not by itself establish that filing was the only rational route or permit publication of conclusions about professional advice.

Current Valencia proceeding

Ordinary Proceeding 1859/2023-9 remains pending before Court of First Instance 27 of Valencia. The hearing listed for 6 November 2025 at 10:00 was suspended at short notice; the signed 6 November diligence relisted it for 28 January 2027 at 10:00. It tests the banking and financial-product lane; it does not by itself decide every concursal, ownership, Community, accounting or extraconcursal issue.

Liquidity is not the same as balance-sheet value

Why the filing cannot be judged from one number

A

Recorded asset surplus

The declaration recorded stated assets exceeding stated liabilities by approximately €11.42 million. That is material to valuation, proportionality, alternatives and later estate accounting.

B

Regular payment capacity

Under the historical insolvency framework, the operative question was whether the debtor could regularly meet due obligations. A property-rich company could still face an actual or imminent liquidity crisis; equally, a liquidity problem did not dispense with the need to test the lender's calculation, acceleration and available restructuring routes.

Correct public conclusion

The documents support describing the concurso as a defensive response to a scheduled enforcement event within a wider liquidity and operational crisis. They do not yet prove that the lender created the entire crisis, that the filing was unnecessary, that professional advice was negligent, or that the declaration itself was legally wrong. Those propositions require the native loan, account and execution files and a separate privilege-reviewed advice analysis.

Two accounting and liability lanes

Do not merge the Valencia claim with concursal credit reconciliation

A

Banking and financial-product lane

This lane examines origination, floor clause, swap or cobertura, pledged funds, refinancing, account administration, default notices, cure figures, acceleration, execution and causation of the defensive filing.

B

Concursal credit and accounting lane

This lane tests the amount recognised in the insolvency, later expert figures, assignments, enforcement, the €400,000 transaction, dación, cancellation, costs, cash movements and any surplus. A €517,750.04 principal discrepancy identified in the controlled litigation record is a reconciliation issue, not an automatic answer to the separate banking claim.

Required bridge

The evidence must reconcile original principal, ordinary and default interest, financial-product charges, payments, pledged funds, cure amounts, the recognised concursal credit, every assignment, execution figures, consideration, dación value, cancellation, satisfaction and residual balance. A later title or satisfaction entry does not retrospectively validate every antecedent calculation or act.

Later lender-of-record chain

Reopening the origin does not erase the later credit sequence

Mortgage-credit succession, separate financial-product responsibility and later control or title claims remain different propositions.

Original Canary lender / historical Bankia perimeter

The original loan, linked products, account treatment, notices, acceleration and execution remain the first source-completion layer.

2013 — SAREB

The controlled record identifies SAREB as later acquirer of the mortgage credit. The deed and asset schedule must determine precisely what moved and what liabilities or defences remained outside the assignment.

2014 — Project Meridian advisory layer

SAREB's public transaction notice identifies IREA Corporate Finance, S.L. as financial adviser and Cuatrecasas, Gonçalves Pereira as legal adviser on the EUR 133 million Meridian hotel-loan sale. This proves the advisory mandates, not the LPB-level material reviewed by either team.

Primary public context: SAREB transaction notice.

2014 onward — Promontoria Holding 122 B.V.

The Sun Park record identifies Promontoria Holding 122 B.V. as the later credit vehicle within the Project Meridian perimeter. Acquisition price, servicing record, debtor notices and complete substitutions remain required.

Public background source: CoStar Finance report on Project Meridian.

2017–2018 — Construcciones Acosta Matos, S.A.

The controlled record places the Promontoria-to-CAMSA transfer in this period. Creditor or enforcing status was not by itself ownership of 100% of Sun Park, authority over Matkator, authority over the Community of Exploitation or a licence to operate every unit.

2022 onward — title and Hotel New Trend, S.L.

Adjudication, dación, cancellation and the CAMSA–Hotel New Trend route must be reconciled with earlier credit, possession, works, income, Community authority and third-party rights. Later title cannot decide every antecedent question by itself.

Direct authenticated evidence · 7–25 September 2017

IREA reviewed the Sun Park/LPB transaction and proposed a debt-advisory mandate

After an executed confidentiality instrument, Aweswell Limited^ / Luchy Playa Blanca, S.L.U.^ sent IREA Corporate Finance, S.L.^ detailed Sun Park valuation, restructuring and bridge-finance material. IREA stated that it had reviewed the information, coordinated with Cuatrecasas, Gonçalves Pereira, S.L.P.^ and believed it could advise on debt raising, including structure, lender marketing, due diligence, negotiation and coordination.

The IREA participants identified were Laura Hernando^, Miguel Vázquez^ and Fernando Banderas Monis^. The correspondence states that Vázquez and Banderas had been involved in Meridian. The “Fernando” in this 2017 record is Banderas—not Fernando Aguiar Acosta.

Proof boundary: this is direct evidence of receipt, review, meetings, Cuatrecasas coordination and a defined proposed advisory scope. IREA was not the lender, credit holder or servicer, and no located mandate proves that it represented PH122 in the 2017 workout. The finite scan did not locate a final executed engagement, lender outreach, financing close, success fee, later transfer of the file or misuse.

Documented continuity · 2014 → 2017 → 2018

IREA^ → Colliers International Spain, S.L.^

SAREB^ named IREA as financial adviser on Meridian in 2014. The 2017 correspondence then directly documents IREA's separate Sun Park/LPB review. This makes IREA the recurring transaction-advisory hinge, not the lender. Colliers announced the 2018 controlling-interest acquisition and operational integration; the official BORME record adds the legal mechanism: IREA absorbed the existing Colliers Spain company by universal succession and then adopted the Colliers name. That makes Colliers the present corporate-continuity and potential records-custody route to confirm, without automatic knowledge or liability attribution.

Documented profile sequence · separate witness lane

Fernando Aguiar Acosta^: RIC Private Equity^ → Colliers^

His public LinkedIn profile records RIC Private Equity^ in 2024, Belagua 2013, S.A.^ / ACHM Spain Management, S.L.^ hotel legal advisory in 2025 and Colliers^ Madrid Debt Advisory in 2026. An official AEAT report and RICPE's project page independently tie Belagua and ACHM to the AC Hotel Tenerife^ ownership/operation/management architecture. That creates a documented organisational overlap and a concrete witness/custody question; it does not prove that he worked on AC Hotel Tenerife or establish Sun Park/Meridian exposure.

Identity and relationship correction: the located professional is Fernando Aguiar Acosta, not “Fernando Acosta Matos”. No located primary or reliable public source proves that he is a son, nephew or other relative of José Daniel Acosta Matos^ or another Acosta Matos family member. No project knowledge, record transfer, coordination or wrongdoing is attributed.

Operating business—not only real estate

Minority interference and the direct-to-market response

The February 2012 viability plan and later operating records identify a trading platform built around customers, bookings, direct distribution and repeat business.

Documented platform: Summers Villages targeted earlier customers, residents and families; Sun Park Living targeted medium and longer stays; a third lane sought tour-operator distribution. Later records support direct reservations, repeat-customer campaigns, call handling, sales reporting, booking and payment systems and external-operator negotiations.

Group position: the Monte Lanza/Molina minority-dissident perimeter materially disrupted unitary hotel operation and contributed to conventional-distribution difficulty, requiring Gil Marer and the wider investor/management team to build a less tour-operator-dependent route to market.

Causation limit: the records establish that the direct-market platform existed and had economic substance. They do not yet prove that every operator declined solely because of internal conflict or quantify the share of loss attributable to each minority actor, lender, adviser, insolvency actor, judicial act or later private actor.

Assets requiring a separate trace

Reservations, customer data, repeat relationships, telephone and digital sales architecture, merchant records, channel relationships, staff know-how, brand, goodwill and forward bookings were distinct from the registered apartments and common areas.

Why the perimeter matters

Damage to that platform could affect the exploitation structure, Matkator and other non-debtor interests even where formal insolvency jurisdiction concerned LPB. A concurso does not automatically convert every resulting harm into an asset or claim belonging only to LPB's estate.

Read the separate Community instrumentalisation record, including the distinction between LPB, the Community of Exploitation, the community of owners and individual proprietors.

Institutional responsibility

Active decisions and passive non-protection must be tested act by act

Question Controlled answer Evidence still required
Did the insolvency administrator or court formally control the whole hotel? No. Their formal function arose in LPB's proceeding. Matkator, the Community of Exploitation, individual owners and third-party rights were not automatically absorbed into the estate. Specific orders, reports, authorisations, notices and estate-perimeter rulings.
Could acts or omissions still affect non-debtors? Potentially yes. The question is whether a specific approval, accounting treatment, silence after notice, failure to protect or failure to correct foreseeably enabled identifiable harm outside LPB. Duty, knowledge, legal capacity, timing, causation and the available corrective measure for each event.
Was the original filing necessarily wrong? Not established. The non-privileged record shows urgency and restructuring attempts. Reasonableness and any professional-responsibility question require the complete contemporaneous information set and a separate privilege-reviewed analysis. Complete loan, account, enforcement and board files; advice material only within a controlled privilege review.
Does later creditor title cure the earlier record? No automatic conclusion follows. Creditor status, practical control, formal title, authority over third parties and lawful hotel exploitation remain separate propositions. Assignments, substitutions, possession records, Community authority, operating contracts, title entries and income accounting.

Preserved first-hand evidence item

Gil Marer's account is that Ron Coggle stated, in front of two lawyers from Cuatrecasas, Gonçalves Pereira, S.L.P., that he would close the hotel. This remains a party statement requiring confirmation of date, place, exact words, context and all persons present. It is not presented as an independently adjudicated finding.

Primary gaps that remain open

The outstanding source package includes the original loan and novation deeds; the native 2011 default notice; complete account ledgers, pledged-funds and grace-period records; the initiating execution application, debt certificate and liquidation; the complete acquisition/control chain beyond the verified Monterecco steps; a separately controlled privilege review of professional advice and decision records; every later attempt to conclude or narrow the concurso; operator-by-operator evidence; and the full value bridge from original principal through assignments, enforcement, dación, cancellation and any surplus.
