MERCANTILE REGISTRY · 38 PAGES · BEFORE THE GOVERNANCE RUPTURE

Montelanza 2008: Sun Park's accounting and operating “before” picture.

The complete digitisation allows the accounts to be read as a contemporary source on the operating company, assets, the June-2008 sale and the fragmentation that required documentary succession before the Community, CEXP, LPB or any later actor could speak for the whole hotel.

Source rule: the Mercantile Registry scan controls. OCR is a search layer and may contain errors. The accounts do not by themselves prove criminal capture or identify the purchaser in the decisive page-12 wording.

Executive conclusion

What they strengthen

An operating hotel requiring documented succession

Montelanza recorded service income, staff, fixed assets and a sale designed to place assets at the purchaser's disposal for operation. Hotel continuity was economic and deliberate; title remained fragmented.

What they do not prove

Later capture does not arise automatically from these accounts

The source does not establish who acquired each property, who inherited the CEXP mandate, whether the 2011 Community offices were valid, or whether a criminal agreement existed. It identifies the bridge that must be produced and tested.

Control question: which deed, CEXP agreement, owner schedule, tourism title, bank account, utility transfer, minute, proxy and owner register carried the 2008 Montelanza structure into the presidency/administration, debt, voting and record custody that existed in 2011?

Before the alleged capture: the 2008 architecture

Operation

Montelanza had a hotel function

Hotel/tourism objects, sales, services, staff and external expenditure. The source is inconsistent with a purely residential or passive historical reading.

Transition

Assets were transferred for operation

The notes describe a business handover: Montelanza ceased its activity and made sold assets available to the purchaser for operation. Legal identity and scope require deeds and Land Registry records.

Fragmentation

One sale did not resolve everything

Parallel apartment sales and 11 optioned premises preserved the need to coordinate individual titles, CEXP, LPB, minorities and common elements.

The critical bridge: 2008 → 2011

29 Apr 2008CEXP and participating-owner mandate.
17 Jun 2008Sale, Montelanza cessation and purchaser operation.
15 Jul 2008New ownership/Community schedule to complete.
31 Dec 2010Expiry of the option over 11 premises.
Feb–Jun 2011AAS presidency, FMMM administration, debt, voting and custody.
Investigative hypothesis: Por Derecho alleges that a vacuum or distortion in that succession may later have allowed limited Community/CEXP powers to be used as instruments of debt, voting, representation, access and control. A documentary gap does not itself prove intent, agreement or crime.

How it may connect to CAM — without projecting 2022 backwards

CAM must be analysed through changing roles: assignee/creditor, owner of identified properties, Community participant, access/project actor, bidder, awardee and later contributor to the HNT/RICPE perimeter.

Dependency test

Remove the disputed Community authority. Before 2022, what hotel-wide capacity remains from CAM's credit and proven properties alone? Credit and partial ownership do not confer hotel representation, operating rights, access to others' property or authority for integral redevelopment.

Inverse test

Assume the 2008 succession, 2011 offices, charges, debts, proxies and decisions were fully valid. The capture thesis then narrows, and each later irregularity must stand on its own evidence.

Evidence capable of resolving the difference

  1. 12-March-2008 option and 17-June deeds, purchaser and properties.
  2. Parallel apartment sales and exercise/non-exercise of the 11-premises option.
  3. Montelanza–CEXP agreement, participants, statutes and scope.
  4. Complete 15-July-2008 minutes and owner schedule.
  5. Tourism, banking, utilities, insurance, maintenance and accounting transition history.
  6. Owner register, notices, proxies, offices, coefficients and debt for 2010–2012.
  7. AAS and FMMM appointment/contract/powers and custody of books/accounts.
  8. CAM credit assignment and properties in 2017–2018; Community and security/access authority.

Prosecution routing: the source belongs primarily in the private/extraconcursal module as property, operation and governance origin; secondarily in the economic/fiscal module as a historic asset and RIC/DIC baseline. It does not justify a new global complaint by itself.
