CAM and its perimeter: two legal questions that must not be collapsed

This page does not declare that CAM or any identified person was a statutory related party or a de facto administrator of LPB. It reconstructs capacities by date and separates (1) strict statutory classification from (2) the independent conflict created by accumulated roles.

Public control updated · 20 August 2026 · legal conclusion open

Controlling rule. Being a creditor, property owner, Community co-owner, Community participant, funder of measures, bidder or future purchaser does not by itself make anyone a statutory related party or a de facto administrator. Keys, security, access, works, information, income or possession may be relevant indicators, but they do not automatically amount to directing LPB.

Two separate analyses

A. Strict related-party status and possible de facto administration

The historical insolvency law in force at the legally relevant date must be applied. The question is whether CAM or conduct attributable to identified persons exercised management functions over LPB with sufficient stability, autonomy, generality and decision-making power to meet the applicable legal category.

Status: open; not established. Community co-owner or debt-assignee status alone is insufficient.

B. Multi-capacity conflict

Even if strict status fails, the combination of secured creditor, owner or co-owner of identified properties, Community participant or beneficiary, access/security actor, negotiator, bidder and awardee must be examined independently.

Status: materially relevant. The question is what enhanced disclosure, segregation, independent valuation and independent verification those accumulated roles required.

Evidence incorporated — and its limits

EventWhat the record supportsPublic limit
27 April 2017A formal composition proposal and viability plan aimed, according to contemporary sources, at full payment. Its procedural failure does not erase the alternative, but does not prove an automatic right to conclusion.
June 2018Contemporary evidence supports changes in security, access and practical control. It does not yet identify with certainty who ordered each act or prove corporate management by itself.
Varia and Ben OldmanDistinct serious finance routes. For Varia, Stoneweg's own 12 June email establishes an agreed and issued binding conditional offer; valuation, title, security, payoff, court/AC steps and committee remained transaction-closing conditions. The Varia offer stage is proved; definitive facility, satisfaction/waiver of every closing condition and drawdown remain to be reconstructed. Ben Oldman must be tested on its own instrument and chronology.
January 2019January 2019 Article 176 draft complete and professionally developed. Its effective filing remains unproved.
January–February 2022The wider review identifies a later act said to invoke Article 465 TRLC / former Article 176 LC and a clarification step.Critical lead pending the complete primary packet: filing, receipt, annexes, service, response and continuation.

Capacity map to reconstruct by date

CapacityDocumentary questionControlled reading
Debt assignee / secured creditorWhat debt, limits, interest and dates?Ordinary creditor conduct is not de facto administration by itself.
Owner / Community co-ownerWhich properties, coefficients, votes and proxies?Relevant to governance and conflict; insufficient by itself for statutory related-party status.
Community participant or beneficiaryWho funded, instructed, executed and accounted for security, access, maintenance or works? The exact legal body and each actor's authority must be identified.
Practical-control actorWho requested, authorised, ordered, executed and paid for each act?Potential evidence; not automatic proof of general management of LPB.
Negotiator / bidder / proposed purchaserWhat information, valuation and advantage existed relative to alternatives?Legitimate commercial role subject to independent conflict review.
Awardee / later HNT perimeterWhich assets transferred and which belonged to Matkator or third parties?Requires property-by-property and condition-by-condition reconstruction.

Community and CEXP: continuity must be proved, not presumed

Governance, debt and access

The minutes audit identifies a pre-insolvency architecture beginning in 2011. FMMM appears in the Community structure before Insolvency 36/2012. His exact office, authority and relationship with later actors must be closed through native minutes, title, proxies, bank records, invoices and votes.

Exploitation and economic majority

The owners' Community, CEXP, any community of property, an informal group, LPB, Matkator and third parties are not interchangeable. Each agreement, debt, access decision, work or vote must be attributed to the correct body and asset perimeter.

Limit. Pre-insolvency continuity is an important audit hypothesis, not a conclusion of unlawful coordination. It must be proved actor by actor and document by document.

The insolvency estate and productive unit as the exit-finance value package

Financing did not depend only on a nominal debt figure. Intact assets, due-diligence access, demonstrable operation and income, title, ECO valuation, ability to create security and an official payoff formed the practical value/security package. Loss or uncertainty affecting those elements could reduce the probability of closing.

Correct causal formulation. The 2018 access and control changes appear to be a probable material contributor, not a proved sole cause. The rigorous claim form is loss of opportunity: compare closing probability with preservation, payoff and a proportionate pause against the sequence that occurred.

What is — and is not — located concerning the insolvency administrator and court

Insolvency administrator

He may be treated as a contested and institutionally interested source because of his role in the plan, debt figures, decisions, accounts and later exposure. The record supports non-facilitation, selectivity and institutional conflict; it does not yet prove deliberate obstruction or unlawful favouring of CAM.

Court and judge

The sequence is scrutinised for objective effects: the CAM timetable, security, payoff and less destructive alternatives. No personal bias, collusion, personal interest or prevarication is attributed without specific evidence.

Controlled wording. No express and complete analysis of possible related-party/de facto administrator status or CAM's accumulated capacities has been located in the reviewed corpus. “Not located” does not mean “never considered”; it identifies the institutional record that must be produced or confirmed.

Current findings

  • Strict statutory related-party status: not established on the present public record.
  • Possible de facto administration: legally relevant and open; requires proof of stable, autonomous and general direction of LPB.
  • Community co-owner: relevant to votes and conflicts, but insufficient by itself.
  • Multi-capacity conflict: materially strong and examinable even if strict status fails.
  • Financing: the Varia binding-conditional-offer stage was agreed and lender-issued; later completion/drawdown and the separate Ben Oldman route require their own condition records.
  • Causation: access/control loss and lack of payoff are probable contributors; exclusive causation is not proved.
  • Crime, collusion or judicial bias: not established by this module.
