TWO PROCEDURAL TRACKS · ONE PROPAGATION QUESTION

Montelanza / Molina → Pink: what migrated, who adopted it, and what did not

A source-controlled comparison of the private-owner litigation that culminated in AP Las Palmas Judgment 89/2014 and the later insolvency-administrator-driven Pink/Monterecco rent and calificación chain. The analysis connects the records without treating different actors, proceedings or capacities as one.

Identity / label control. The verified first track is JPI no. 4 Arrecife · JV 1260/2011 → Roll 793/2012 → AP Las Palmas · Judgment 89/2014. Any earlier reference to “ICFE” is superseded: it was a voice-to-text error for “Audiencia Provincial,” not a separate proceeding or institution. The relevant Spanish company in the second track is Monterecco Sun Park, S.L. → Pink Canary Services, S.L.; it is separate from AWESWELL LIMITED.

CRIMINAL-FIRST · ONE CAUSAL ACCOUNT · INDIVIDUAL ATTRIBUTION

The alleged mechanism: displacement, control and defence of the result

Gil Marer alleges an evolving course of criminal conduct, not simply several proceedings about the same hotel. His allegation is that particular private, Community and concursal acts were used to impair the existing operating position, facilitate practical control and subsequently maintain or defend the resulting advantages. Track A and Track B are procedural parts of that alleged sequence, not the whole of it.

The analysis works back from the rights, control and value affected to the instruments used, the people acting, their contemporary knowledge and the effect of each contribution. It also follows later judicial and institutional results into their subsequent use. Documented connections, causal inferences and criminal responsibility remain separate; adverse and corrective decisions remain in the account.

1. Begin with the alleged wrong, not only its procedural instruments.

Marer's recorded account starts with the intended 2008 whole-hotel sale and exploitation arrangements and alleged seller/minority breaches. It does not treat permanent disruptive fragmentation as the buyer's agreed endpoint. Intended acquisition of the whole enterprise is nevertheless different from completed conveyance of every title: seller, finca, commitment, condition, alleged breach and the subsequent rights-holder require their own source chain.

He alleges AC alignment from the beginning of the administrator's involvement; later CAM participation around 2017–2018; and materially adverse judicial involvement at least around the convenio/liquidation transition. The judicial allegation concerns Alberto López Villarrubia, then Magistrate-Judge of Commercial Court No. 1 of Las Palmas de Gran Canaria. These are attributed positions, not findings or invented start dates. 7 June 2018 is the principal alleged material-control pivot, not the origin of the entire course. Later maintenance, exploitation and defence of advantages must be evidenced as particular acts, not inferred merely from an unpaid historic loss.

Recorded course-of-conduct allegation and actor chronology · 2008 transaction, instruments and limits

2. The 18 May 2018 meeting joined governance litigation to proposed access control.

The source-controlled account of the meeting records both the security proposal requested through LPB's insolvency representative and a proposed arrangement concerning P.O. 213/2015 and P.O. 562/2014. Community counsel explained a proposed agreement and submission to the claim (allanamiento) in one case, with an anticipated effect on the other. These proceedings concerned disputed Community acts.

This is more specific than overlapping attendance: the inquiry asks who represented the Community, what litigation position that representation authorised, what effect was expected on the competing governance claim, and what access powers the same organ authorised. The working minute and its OCR-assisted transcription do not prove that the proposed settlement was implemented. The actual filings, mandates, resolutions, voting basis and security instructions must establish each step. Ordinary lawful settlement and preservation remain explanations to test.

Meeting, litigation and implementation distinctions

3. Examine the AC's affirmative role—not only an alleged failure to intervene.

The reviewed source control records a 25 June 2018 contemporaneous counsel report that the opposing side supplied and relied on Borja's security email in the Arrecife dispute. Counsel contested the preservation rationale, arguing that excluding existing maintenance staff could itself cause deterioration. This is a source-controlled account of counsel's report, not a newly certified court exhibit or a judicial finding of fraud.

The same control preserves the limiting account relayed on 8 June: Borja reportedly said the Community had agreed security and CAM had entered its own apartments and common areas, not LPB apartments. The investigation compares the communication's purpose and limits with actual instructions, premises, exclusions and later evidential use, including what the AC did when alleged excess was reported.

Which instrument authorised each step from limited ownership or preservation rights to the wider practical control alleged? LPB's estate, CEXP, Pink, Matkator and other owners' rights cannot be merged. The control does not establish a literal AC-to-CAM handover of all hotel keys; functional enabling and a physical key handover are different propositions.

Security-email reliance, the AC's limiting account and proof targets

4. Test alleged causal inversion without reversing time.

The causal question is whether alleged impairment of the operating system was omitted or inadequately tested while resulting non-payment, non-operation or deterioration was attributed principally to the operating side. The June 2018 event cannot have caused arrears already adjudicated in November 2015. Earlier accrual and operating conditions, 2017–2018 changes in possession/access, post-change capacity, and later calificación use are distinct periods within one account.

For each alleged failure, identify who could actually operate, maintain, preserve income or produce records at that date. The controlled 8 June counsel account supports AC notice of the takeover allegations; notice is not proof that the allegations were true. The separate 13 June adviser record identifies agreement to inform the Mercantile Court and a drafted protective pleading; the filing receipt remains not located in the reviewed chain. Neither universal ignorance nor universal judicial knowledge follows.

WE KNOW A RESPONSE EXISTED. WE DO NOT YET HAVE ITS CONTENT. The controlling chronology records Mercantil's response to Arrecife's pre-7-June exhorto, receipt on 11 June and incorporation on 13 June. That response cannot be presumed to address the later takeover without its text and annexes. Knowledge, duty, practical ability, filing, receipt and decision must be traced separately.

Notice, protective draft and exhorto corrections · Rent, costs and alternative causes

5. Follow the protective alternative and the implementation of corrective decisions.

The funded-exit control records the signed 6 June 2018 ONA operating package, professional transaction work, financing alternatives and a sale/backstop route, with different maturity and condition labels. Marer's position is that the aggregate Article 176 exit package was closure-capable and that the 7 June takeover and subsequent lack or denial of effective protection caused its failure in full. That is an attributed causation allegation, not certification that every lender committed, every condition was met or closing was certain. Non-completion does not itself prove non-development; preparation does not itself prove every closing condition was satisfied.

The inquiry identifies which component was impaired, by which act, when and with what consequence. It also follows the 24 October 2019 non-convalidation decision through possession, Registry/OB REM treatment, the €400,000 accounting and later disposal. The corrective order is material counterevidence, not something to omit. Its practical implementation, or a valid replacement-authority chain, may narrow the allegation; neither non-convalidation nor a later benefit alone proves crime.

The DI248 return path and later result reuse must be examined alongside those protective and corrective routes: did reuse contribute to leaving particular alleged control or value consequences unexamined or uncorrected, and what independent reasons and examinations also informed the decisions? The existing account of authority, control and money below is the recovery output—not a declaration of collective guilt or achieved recovery.

ONE SET OF LABELS · MULTIPLE CONNECTIONS

Two proceedings, several connections—not two isolated disputes.

Track A means the private-owner proceedings concerning eighteen units. Track B means the later LPB/Pink contract, rent and calificación proceedings. Civil and possessory analysis and criminal and forensic analysis apply to both tracks; they are not alternative meanings of A and B.

The reviewed record identifies connections through Community representation, debt and voting, operating costs, possession and keys, AC authorisations, later property transfers and the reuse of institutional positions. An express citation of AP 89/2014 is one evidence question, not the gateway to every other connection.

The question is what each actor supplied, received, authorised or subsequently used—and what changed as a result. Gil Marer alleges that these connections were knowingly instrumentalised to displace the operating side and consolidate or defend control. The documented connections, their effects and that criminal allegation are assessed separately.

CORE THESIS

Two distinct legal routes, one functional operator-displacement question

Track A used private-owner possession/exploitation litigation over 18 dissident units, later extended against Monterecco, to obtain a bounded exclusionary result against the operator. Track B later used insolvency-administration litigation, possession/keys narratives, rent/termination claims and calificación to challenge and displace Pink’s operating position within the LPB/concurso perimeter, with the concursal judge later adopting or rejecting particular propositions in a separate judicial capacity. The hypothesis to test is same practical direction / different juridical mechanism: did the later institutional route arise independently, merely converge with the earlier private route, reuse its assumptions or evidence, or broaden its practical exclusionary effect? That question must be proved proposition-by-proposition; it does not itself establish coordination, common intent or criminal agreement.

Gil Marer's attributed allegation — mutual instrumentalisation across proceedings. Gil alleges that the private actors and their successors, the insolvency administrator and later judicial acts have been used functionally as instruments for one another across separate proceedings: a pleading, possession theory, Community act, AC report, testimony, order or judgment generated in one lane can become an input, legitimating premise, evidential shortcut, enforcement effect or practical lever in another. “Interchangeably” here means cross-use of propositions and effects, not that the actors or legal capacities are the same. The required proof question is always: origin → receiving actor → knowledge route → later source → adoption/use → effect → benefit/harm → contrary evidence. Functional reuse does not itself prove a common plan, direction, corrupt agreement or transferred intent.
Track A · documented

Private actors, Community/CEXP and 18 units

JV 1260/2011 was brought by a private-owner perimeter concerning 18 units. The claimant side later extended the case against Monterecco. First instance found insufficient proof against Monterecco; AP 89/2014 reversed that result after a post-judgment May-2012 key-delivery event entered the appellate record.

Track B · documented

AC action, Pink rent and later calificación

Francisco de Borja Rodríguez-Batllori, acting as LPB's court-appointed insolvency administrator, pursued the separate LPB–Monterecco/Pink contract/rent dispute. The later calificación case reused Pink/rent propositions; Sentencia 163/2023 rejected one AC economic-rationality theory but made adverse findings on the non-payment/non-enforcement branch. Those findings are appealed.

Open the calificación control →

The defensible bridge is proposition-by-proposition. AP 89/2014 is materially adverse evidence, but it did not decide universal whole-hotel authority. One documented later chain is the separate 2017 Pink→LPB handover → Auto 804/2018 → 2019 AC calificación → Sentencia 163/2023; the additional return paths below must also be examined. Any claim that AP 89/2014 itself was expressly relied upon later must be proved from the later actor's source, not inferred from chronology.

TRACK A

How the private-owner litigation grew out of the Community/CEXP fracture

2008 · CEXP architecturedocumented with limits

CEXP was created through a collective process with substantial, not universal, participation. Several later JV1260 corporate claimants were present or represented.

2011 · governance overlapdocumented

Álvaro Campanario represented much of the future claimant perimeter, acted as meeting Secretary and proposed procedural strategy in Community governance.

2011–2012 · JV 1260documented

The 18-unit possession/exploitation claim was filed and later extended by the claimant side against Monterecco.

2014 · AP 89/2014adverse holding · bounded

The Provincial Court reversed Monterecco's first-instance result as to the 18 claimant units. It did not adjudicate universal ownership or whole-hotel authority.

Key separation: the May-2012 key event belongs to CEXP maintenance copies in JV 1260/AP 89. It is not the same event as the facial May-2017 Pink→LPB handover. Conflating them creates an evidential error.

TRACK B

The AC-driven Pink chain must be reconstructed on its own record

6-Feb-2012

LPB–Monterecco/Pink operating agreement. Contract validity, CEXP authority and whole-hotel scope remain separate questions.

17-Jan-2014 → 24-Nov-2015

The controlled source stack identifies the AC's contract-resolution/rent claim and the later Pink judgment. The full money bridge remains under reconciliation.

22-May-2017 → Auto 804/2018

A facial Pink→LPB access-key/possession instrument was later used in an adverse criminal-procedural narrative in which the AC's authority/testimony was material.

11-Feb-2019 → 163/2023

The AC's calificación report made direct downstream use of the 2017 handover premise. The concursal judgment later adopted selected adverse Pink/rent propositions while rejecting another AC branch.

03-A · rejected

Entry into the agreement

Sentencia 163/2023 did not accept the proposition that comparing €24,575 monthly rent with the mortgage instalment, by itself, made entry into the agreement culpable. The contract also stated a €33,915.29 monthly Community burden assumed by the operator, before other operating costs.

03-B · adverse, appealed

Non-payment / non-enforcement

The judgment made adverse findings concerning unpaid rent, enforcement diligence, causation and Pink complicity. The appeal and the unreconciled operating-income/payment/quantum record remain part of the live evidential picture.

The rent finding must be tested against the hotel's operating conditions—not in isolation from them.

The contract imposed both rent and substantial LPB Community charges on Monterecco/Pink, alongside operating responsibilities. A contemporaneous accountant memorandum proposed offsets for obligations said to have been borne for LPB. The AC's own report also reproduced notice of the Community debt and governance dispute.

The central causal question is whether restrictions on usable inventory, access or governance, together with costs borne for others, affected the cash available to pay rent—and how those matters were investigated before non-payment or non-enforcement was used to attribute insolvency aggravation. Market conditions and management decisions must be tested alongside the alleged private-actor interference. The adverse finding is not erased; its economic foundation is examined.

The memorandum does not prove every payment or valid set-off. Notice of a dispute does not establish that the debt was false, and the minority-owner conflict has not been established as the sole cause of underperformance.

THE BINDING MATRIX

What connects the tracks — and at what evidential level

Documented reuse · criminal significance separate

A documented return path: the calificación position was used when assessing the complaint against AC/CAM.

On 7 May 2019, the DI 248/2018 archive decree expressly invoked the Ministerio Fiscal's adverse calificación position concerning the former administrator, now the complainant. A position developed in the insolvency proceedings therefore became part of the reasoning applied to his complaint against the insolvency administrator and CAM.

This was the 2019 fiscal position, not the later 2023 judgment. It establishes institutional reuse; it does not by itself establish a corrupt agreement. The decree also gave other reasons for archiving. The accountability question is what independent examination of the AC/CAM allegations accompanied that reliance, and what contrary material was considered.

ACTORS & CAPACITIES

Bind the actors; never merge their legal roles

Private-owner / Community perimeter

Montelanza and individual Molina owners are distinct. The claimant companies and persons in JV 1260 must be traced unit by unit. Campanario's representative, Community-meeting and litigation-lawyer capacities are date-specific. FMMM, Antonio Cogolludo, Shaila Cogolludo and related entities require act-specific source bridges, not guilt by association.

LATER CONVERGENCE

18 May → 7 June 2018: an important bridge, with a hard temporal boundary

The controlled reconstruction records Laura Acosta Matos representing CAM and Rodríguez-Batllori representing LPB at the 18-May-2018 Community meeting. The voting-right list includes an AMENEM/Shaila Cogolludo 0.385% line; AMENEM was an original JV1260 claimant. A different former TENGOLF/AMENEM unit, Finca 8718, then passed to CAM through deeds dated 23 and 31 May. The Project's material-control pivot follows on 7 June.

What this proves: later documentary convergence across a historic owner/Community perimeter, the AC/LPB representation, CAM and the immediate pre-7-Jun access/security sequence. What it does not prove: that CAM directed the 2011 litigation, that the AC joined a 2011 plan, or that any judge inherited criminal responsibility from a private actor.
