# CALIFICACIÓN — ALLEGATION 03 UNITARY CAUSATION ANALYSIS

**Date:** 16 August 2026
**Proceeding:** Concurso ordinario 36/2012 — Luchy Playa Blanca, S.L.U. (`LPB`)
**Status:** CONTROLLED EXTENSION TO `CALIFICACION_ALLEGATION_03_PINK_OPERATING_RENT_CAUSATION_LEDGER_16AUG2026.md`
**Purpose:** prevent Allegation 03 from being analysed as an isolated rent dispute when the source record requires a hotel-wide operational, Community-governance and AC-duty analysis.

## Controlling conclusion

Allegation 03 must be read as **one causal system**, while legal responsibility remains actor-specific.

The strongest source-grounded question is not simply whether Pink owed rent or whether Gil should have pursued it. It is:

> **Did the calificación convert a downstream cash-flow symptom of a hotel-wide governance and operating conflict into personal culpability against Gil/Pink without first reconstructing the whole causal system that the AC himself knew about and later acted through?**

That is an **EVIDENCE-BASED ACCOUNTABILITY QUESTION**, not a finding of conspiracy, fraud, prevaricación or criminal coordination.

The user/party description of a `Community hijacking` is therefore controlled publicly as an **alleged functional capture / instrumentalisation / governance displacement of the Comunidad de Propietarios**. The truth of the disputed Community debts, voting exclusions, mandates and private-actor instructions remains to be proved source by source.

## 1. One hotel economic system, fragmented legal title

The historical source record describes Sun Park as a physically integrated tourist establishment whose value depended on a substantially unitary operating model even though title was fragmented among many units.

The AC's own 11-Feb-2019 report reproduces the historical transition from an effectively indivisible hotel operation to a divided ownership structure and records LPB's large majority position after the 2008 transactions. The same report therefore contained the basic economic fact needed for a non-fragmented inquiry: **individual-unit title did not eliminate hotel-wide operational interdependence**.

This matters because rent, Community charges, occupancy, maintenance, staffing, utilities, distribution and hotel preservation cannot be analysed as unrelated silos.

**Classification:** VERIFIED AS TO AC'S RECORDED KNOWLEDGE OF THE HISTORICAL OPERATING/OWNERSHIP STRUCTURE; broader economic consequences require act-by-act proof.

---

## 2. The upstream Community/minority-owner conflict pre-dated the Pink rent dispute

The defence and later party filings allege that a minority-owner / Community perimeter impaired the unitary tourist operation by keeping units outside the common operation, disputing or reallocating common costs, generating Community debt, using debt to affect voting capacity and obstructing LPB's ability to exercise majority governance.

Sentencia 163/2023 itself records Pink's defence that:

- minority owners repeatedly refused compliance with the tourist-law principle of unity of exploitation;
- occupancy was very low;
- maintenance and adaptation costs were substantial; and
- Pink's activity, according to the defence, barely covered the costs being generated.

Those propositions are **party allegations reproduced by the signed judgment**, not findings that the minority perimeter caused the losses.

Separately, the receivables record supports a real economic dispute over costs borne by the operating perimeter. The David Espejo analysis used in the calificación proceedings treated the `€737,338.85` CEXP item as a valid LPB receivable connected to compensation/cost-allocation mechanics. Sentencia 163/2023 accepted that explanation sufficiently to reject the AC's `LPB owes itself` construction. This does not adjudicate every allegation against minority owners, but it prevents the wider Community/CEXP economic conflict from being dismissed as fictitious simply because LPB held a majority interest.

**Classification:**
- minority-owner deliberate obstruction / false Community debt / abusive voting exclusion: PARTY ALLEGATION / INVESTIGATIVE;
- existence of a material Community/CEXP cost-and-governance conflict: SOURCE-SUPPORTED;
- sole causation of hotel underperformance: NOT PROVED.

## 3. Pink must be tested as an operator inside that damaged system, not merely as a connected tenant

The 6-Feb-2012 contract did not allocate only a €24,575 monthly rent. It also allocated LPB Community charges of €33,915.29/month and broad operating responsibilities/costs to Spanish Monterecco/Pink.

A contemporaneous accountant communication dated **25-Nov-2013**, sent by Jonathan Simó Morales with an inter-company compensation memorandum (exact private attachment filename withheld), adds an important economic layer. Based on the data supplied to the accountant, it proposed offsetting the €24,575 monthly rent against LPB obligations said to have been borne by Monterecco, including:

- Community costs;
- IBI / refuse-related amounts;
- identified legal/procedural costs; and
- employment/social-security exposure associated with personnel absorbed from the prior operating structure.

The memorandum's own conclusion was that the identified LPB-side obligations borne by Monterecco exceeded the nominal rent and should be considered in an inter-company compensation exercise.

### Evidential limit

This is a **CONTEMPORANEOUS PROFESSIONAL/ACCOUNTANT DOCUMENT BASED ON SUPPLIED DATA**. It is not by itself proof that each underlying amount was legally due, actually paid, validly set off or communicated to the AC. The exact AC receipt/knowledge of this 2013 memorandum remains unresolved.

Its significance is narrower but important: the contemporaneous accounting treatment was already more complex than `rent simply went unpaid while the operator kept the benefit`.

## 4. The AC had direct notice of the Community-governance obstruction allegation

The AC's own 2019 calificación report reproduces January-2018 correspondence in which Gil told him, in substance, that:

- hotel operation, maintenance and supplies belonged to the tourist-operation perimeter rather than being an ordinary co-owner function;
- the Community debt asserted against LPB was disputed and described by Gil as false;
- the debt was said to prevent LPB, despite majority ownership, from effectively convening, voting or challenging Community action; and
- Gil had repeatedly asked the AC to require the Community managers to produce/support the Community accounts and minutes so the issue could be resolved.

This is a critical knowledge distinction:

- it **does not prove** that the Community debt was false or that voting exclusion was unlawful;
- it **does prove** that the AC had specific notice of the allegation and of a request for institutional intervention/reconciliation before the 11-Feb-2019 calificación report.

### Same-document problem

In the passages reviewed, the AC report contains that Community obstruction thesis as material supplied by Gil, but its adverse causal conclusions pivot principally toward Pink rent, alleged foreign receipts and alleged `connivencia` between Pink and LPB. No equivalent reproducible Community/minority-owner causation calculation has yet been located in the AC report.

The correct proposition is therefore:

> **the AC knew the competing Community-governance explanation existed; whether he adequately investigated, accepted, rejected or quantified it must be tested from his complete file rather than presumed.**

**Classification:** AC NOTICE — VERIFIED FROM HIS OWN REPORT; adequacy/motive — OPEN.

## 5. The AC then acted through the Community as an operational/access mechanism

After liquidation, the Community was not merely background context for the AC.

The AC report records the exchange over keys/access in which he treated the supplied access code as delivery of possession and indicated that the Community administrator would be instructed to access the complex for Community maintenance/security purposes. Gil disputed that interpretation and reiterated that maintenance/security/exploitation belonged to the hotel-operating perimeter.

A separate **scanned copy of the AC's judicial testimony in DP 1132/2018, certification still pending**, is still more consequential. The source-controlled 29-Jul-2026 review records that the AC testified, in substance, that:

- Laura Acosta Matos contacted him about the need to enter an LPB local because of an alleged fault and he authorised forcing the door;
- he authorised the Comunidad de Propietarios to enter LPB premises for maintenance/access purposes and accepted the breaking of locks where needed; and
- he authorised Laura Acosta Matos to enter LPB premises for supervision or maintenance of installations/common areas.

### Adverse judicial context that must remain visible

The later AP Las Palmas order in the DP 1132/2018 track upheld provisional archive and treated Community maintenance/access authority and the AC's testimony as part of a lawful/civil alternative explanation for the conduct then complained of. That adverse ruling must not be rewritten as a finding of criminal takeover.

Equally, that archive does not itself establish a judicial whole-hotel title/possession transfer to CAM or decide every later civil, concursal, property, tourism or patrimonial consequence.

### Why this matters to Allegation 03

The same AC occupied several materially different roles across the same operating system:

1. complainant/litigant against Pink over rent;
2. recipient of the Community-debt/voting obstruction allegation;
3. post-liquidation recipient/interpreter of keys and possession;
4. person who used or authorised Community access/security/maintenance mechanisms according to his own report/testimony;
5. material witness in the 2018 access/control dispute; and
6. 11-Feb-2019 author of the calificación accusation against Gil/Pink.

That role sequence does **not** prove improper alignment with private actors. It does create a legitimate **consistency, knowledge, duty and causation audit**.

---

## 6. Private actors and the Community apparatus — what is and is not presently proved

The controlled project record supports investigation of a pre-existing Community apparatus involving offices, document custody, debt/voting mechanics, litigation, maintenance/access and later security. It predates CAM.

The source record also supports a later CAM-linked/private-actor interface with that apparatus, including pre-June-2018 site/access activity, the 18-May-2018 security/Community decision period and the 7-Jun-2018 material-control threshold.

But repository correction CR-019 controls attribution:

> predecessor Community conduct is **not automatically CAM conduct**. CAM/JDAM/LPAM responsibility requires proof of knowledge, adoption, instruction, use, escalation or benefit for each proposition.

Likewise:

- `Community hijacking` is not an adjudicated fact;
- a Community vote is not automatically authority over every LPB/Matkator/private unit or over the entire hotel business;
- an AC authorisation for maintenance/access is not automatically proof of authority for wholesale practical possession;
- later CAM/HNT title cannot retroactively legalise every earlier access/control act; and
- later benefit does not itself prove earlier conspiracy.

**Classification:** connected mechanism / knowledge-and-adoption inquiry — EVIDENCE-BASED; illicit coordination — UNRESOLVED.

## 7. The non-fragmented causal sequence

The unitary hypothesis to be tested is:

`UNITARY HOTEL ECONOMY`

→ fragmented legal title but operational interdependence

→ **minority/Community conflict** allegedly removes inventory from common exploitation, reallocates costs, generates disputed debt and impairs majority voting/governance

→ **Pink/Monterecco operating response** assumes hotel operation, Community burden and substantial operating/conservation costs

→ cash/rent position becomes a net economic question requiring actual receipts, expenses, Community payments, offsets and bank evidence

→ **AC knows the Community/debt/voting allegation** and is asked to obtain/reconcile underlying Community accounts/minutes

→ AC litigates against Pink for rent and later takes/interprets possession/access after liquidation

→ **AC acts through or authorises Community/private-actor access/maintenance mechanisms** according to his report and scanned judicial testimony

→ 2017–2018 Community/security/private-actor events culminate in a material access/control transition whose exact legal/finca perimeter remains disputed

→ **11-Feb-2019 calificación** frames aggravation principally through Gil/Pink rent/non-enforcement and connected-party theories

→ **Sentencia 163/2023 narrows the accusation**: contract-entry theory rejected; `connivencia`/alzamiento theory rejected as unsupported; personal complicity extension to Patricia rejected; but later rent non-collection / gross-fault / causation and Pink complicity remain materially adverse and appealed.

This is the correct non-fragmented architecture.

## 8. The central causal asymmetry to investigate

The present record contains an important asymmetry:

### Upstream/private-system side

The record identifies or alleges:

- unitary-operation disruption;
- minority units outside common exploitation;
- Community costs borne by the operating perimeter;
- disputed Community debt and voting consequences;
- low occupancy and maintenance burden;
- later security/access/control effects; and
- a contemporaneous accountant set-off theory.

### Downstream/calificación side

The adverse finding focuses on:

- unpaid rent;
- Gil's failure to demand/terminate early enough;
- presumed economic capacity from continued operation; and
- aggravation of LPB's insolvency through non-recovery.

### The missing bridge

A complete causation analysis should therefore answer:

1. What rooms/units were actually available to Pink for exploitation each month?
2. What occupancy, ADR and gross receipts did those units generate?
3. Which Community, maintenance, utilities, payroll, tax, litigation and preservation costs did Pink actually bear for LPB or the wider hotel?
4. Which amounts were legally susceptible to set-off against rent and which were not?
5. What portion of underperformance is attributable to market conditions, minority/Community conflict, management decisions, financing pressure, the concurso, or other causes?
6. What did the AC investigate and quantify on each side before attributing aggravation to Gil/Pink?
7. Once the AC himself used Community access/security/maintenance mechanisms, how did he account for their effect on hotel operation, possession, revenue and asset value?
8. What would earlier rent litigation realistically have recovered at each date, given actual Pink cash/assets rather than hindsight?

Until those questions are reconstructed from primary records, a rent-only model is **not a unitary causation model**.

---

## 9. Judicial corrections to the AC's broader connected-party narrative

The first-instance judgment is materially adverse overall, but it also limits several parts of the AC's broader theory:

- **contract entry:** rent below mortgage did not itself make the 6-Feb-2012 agreement an antijuridical culpability act;
- **CEXP €737,338.85:** the court accepted expert evidence supporting a genuine LPB receivable and rejected the AC's effective `LPB owes itself` construction;
- **alzamiento / Pink / foreign-receipts / connivencia branch:** the judgment did not accept the AC's `connivencia` assertion as corroborated evidence and rejected that branch;
- **Patricia personal complicity:** the judgment refused to extend Pink's position to Patricia where the AC report had not supplied sufficient argumentation for personal attribution;
- **later rent non-collection:** this remains the principal materially adverse branch against Gil/Pink and is under appeal.

This pattern matters because the correct public question is **which part of the AC theory survived judicial scrutiny and which parts did not**, not whether the whole accusation was either vindicated or fabricated.

## 10. Strongest public formulation

### English

> **One economic system, not five disconnected case files.** Sun Park depended on unitary hotel operation even though title was divided unit by unit. Judgment 163/2023 itself records Pink's defence: minority owners who, according to that defence, resisted unity of operation, low occupancy and very high maintenance costs. That has not been judicially established as the sole cause of loss. But it cannot simply disappear from an accusation built on what the hotel was supposedly capable of generating.
>
> The issue becomes more significant because **the AC himself knew of the Community dispute**. His 2019 report reproduces Gil's complaint that disputed Community debt prevented LPB from effectively exercising its majority and his request that the AC require the Community managers to support their accounts and minutes. After liquidation, the Community also became a practical access, maintenance and security mechanism used or authorised by the AC according to his own report and a scanned copy of his 2018 judicial testimony, for which certified production is still required.
>
> The classification question therefore cannot be reduced to `Pink failed to pay €24,575 per month`. The complete chain is **actually exploitable inventory → occupancy and revenue → costs borne → Community charges → offsets → payments → AC decisions → access/control → effect on operation → realistically recoverable rent**. A contemporaneous November-2013 accountant memorandum already proposed offsetting rent against LPB obligations said to be borne by Monterecco; it is contemporaneous professional evidence, not bank proof that every proposed offset was valid.
>
> **The adverse result remains visible:** Judgment 163/2023 did find the later failure to pursue rent culpable, found gross fault and causation and declared Pink an accomplice; those findings are appealed. The accountability demand is that this finding be tested against the complete economic system the AC knew and later acted within. The `Community hijacking` description remains an allegation: what is presently verifiable is the conflict, notice to the AC and later use of the Community as an operational access mechanism. Any unlawful coordination with private actors still requires specific proof.

## 11. Evidence required before strengthening the proposition

Use existing canonical missing-evidence tracks rather than inventing a conspiracy conclusion:

- **ME-041–050:** Community/CAM access, security, locksmith, 18-May and 7-Jun chronology, predecessor apparatus, operation interruption and control perimeter;
- **ME-047:** predecessor Community apparatus and exact continuity/adoption proof;
- **ME-048:** PMS/reservations/staff/suppliers/utilities around the 7-Jun control event;
- **ME-055/056:** complete exit/rescue response matrix and operator/direct-market commercial data;
- **ME-062:** AC request-response-delivery/knowledge matrix;
- certified complete **DP 1132/2018**, especially the AC testimony and underlying emails/authorisations;
- Community minute books, accounts, debt certificates, voting records and supporting invoices;
- complete LPB/Pink rent, Community, bank and set-off ledgers from 2012 onward;
- source proof showing whether the 25-Nov-2013 accountant compensation memorandum reached the AC and, if so, when/how he treated it;
- operator-by-operator evidence permitting causal apportionment rather than a sole-cause assertion.

---

## 12. Continuity lock

**Do not move to Allegation 04 merely because the rent sub-issue has been indexed.** Allegation 03 remains the current serial audit until this unitary Community/private-actor/AC causation layer is propagated and deployment-verified.

Future threads must not regress to either fragmentation:

- `Pink rent was an isolated bilateral debtor/tenant problem`; or
- `the Community/private actors alone are proven to have caused the entire hotel loss`.

Both are unsupported simplifications.

The controlling method is:

`WHOLE HOTEL ECONOMY → ACTOR-SPECIFIC DUTY/POWER → KNOWLEDGE → ACT/OMISSION → OPERATING EFFECT → CASH/ASSET EFFECT → CALIFICACIÓN CAUSATION → JUDICIAL RESULT`.
