Client position, verified status and recovery purpose

Programme in motion. The documentary reconciliation, preservation and public-record correction programme is active. We are maintaining the joined mandate, billing, instrument, title/service, enforcement and beneficiary record, and pursuing protection, accountability and recovery through the appropriate distinct channels. Each action is recorded at its evidenced stage: instruction, preparation, transmission, filing, decision or implementation. An active programme is not a representation that every requested step has been filed, ordered, served or completed. Private advice remains private; historical quotations and court decisions retain their original wording and date.

Gil Marer’s factual confirmation, not a judicial finding: he states categorically that AWESWELL LIMITED alone engaged Cuatrecasas, Matkator never engaged the firm in Spain or the United Kingdom, and Matkator owed no underlying professional-fee debt of its own. He describes the notes as an internal-accounting accommodation with a limited/residual purpose; expected payment came from financing/the transaction and hotel income. No unrestricted guarantee or assumption of another entity’s fees is conceded. The agreed restrictions and legal effect of the instruments need their own evidence.

Separate documentary anchor: the located July-2019 schedule contains 22 invoices: 20 addressed to AWESWELL, two to LPB and none to Matkator. The absence of a retainer alone does not decide enforceability of the notes. Cause, authority, delivery conditions and allocation remain to be examined without describing a Matkator engagement as an admitted fact.

Verified procedural state: on 16 September DP 748/2026 ordered joinder of submissions/document and a five-day transfer to the Ministerio Fiscal. This does not establish remittal to the Audiencia Provincial, an appellate roll, reopening or outcome. On 17 September the reposición against refusal to suspend ETJ 163/2020 was dismissed; that is not an adjudication or cession order. A later complement request, other application or notice needs its own receipt before it is described as filed/sent.

Joined factual inquiry; separate responsibilities: protective mandate → work/billing → purpose and use of notes → title formation and service → enforcement → any transfer and beneficiary. The allegation of mandate inversion is preserved. No agreement with Acosta Matos or perimeter-connected assignee is established here. Invoice, WIP, estimate, proforma, note and claimed principal must not be added again where they incorporate the same work; a firm-stated amount is not the client’s admission of debt.

Objectives: protect assets and evidence; obtain the docket and item-by-item reconciliation; identify any transfer/beneficiary; and record decisions and implementation. The website does not replace filing, service or judicial decision. Dated historical blocks retain their context; this panel corrects earlier references to court processing not yet located.

Whole-claim reconciliation and current acts

Examine the claim from mandate to ultimate beneficiary. Two claimed principals—€189,830.72 and €182,517.72—do not permit invoices, proformas or WIP potentially included within them to be added again. The 2019 €152,424.95 figure includes a €60,000 forward estimate; the 2020 €161,738.75 performed-but-unbilled figure needs its own breakdown. The €327,608.32 invoice-face total includes settled items and is not current outstanding debt.

Review of the court-file reproductions shows “NO A LA ORDEN” on all four notes, dated 21 November 2018, before the July 2019 WIP schedule. Any transfer requires its own instrument and legal analysis; neither conversion of all later WIP into those notes nor absolute non-transferability is assumed. Complete original fronts/backs, cause, authority and allocation remain required. The original claim sought attachment of both 8.584 and 8.588; only 8.584 is the presently identified realization target. Apartment 758 is not Matkator property.

Filings of 10 February and 3 September 2026 request adjudication and a right of cession. They do not establish completed adjudication, whole-credit assignment, a third-party identity or an Acosta Matos beneficiary. The €77,840 credit / €104,677.72 remaining-principal scenario is not a verified bank or ledger posting. The client's allegation of mandate inversion and economic leverage is preserved alongside actual protective work, non-payment explanations and single satisfaction of each item.

OPEN CALL · WHOLE-CLAIM CONTROL · 9 SEPTEMBER 2026

Cuatrecasas: documentary questions for a verifiable institutional response.

Project Sun Rock invites Cuatrecasas Legal, S.L.P. to state publicly, clearly and documentably whether it has used, is using, or intends to use the four Matkator promissory notes, Cambiario 1048/2019, ETJ 163/2020, any adjudication, remate cession, assignment or related recovery instrument to obtain or transfer economic value or control over the Aweswell/Sun Rock investment perimeter for the benefit of an adverse party, a connected person or any undisclosed third party.

Our allegation, not a finding. We allege that the instrument-and-recovery architecture may have created a non-transparent side door into the former-client investment perimeter through Matkator—a route the client side submits for testing as a possible mandate-inversion mechanism or lateral economic access to the former-client perimeter. Work principally documented to Aweswell/LPB later appears in four Matkator pagarés and judicial enforcement against Matkator, while Cuatrecasas has expressly sought the faculty to cede the remate to a third party. We have not proved a clandestine agreement, an improper assignee, misuse of confidential information, a common plan with Acosta Matos/CAM/HNT, procedural fraud or any criminal offence. Cuatrecasas is invited to deny, correct, explain or document each proposition.
Why this matters. The documented rescue work placed Cuatrecasas on the Aweswell/LPB side of a lawful alternative to the adverse control-and-consolidation route alleged by Project Sun Rock. Our position is that later affirmative enforcement against Matkator may represent a progressive inversion of that protective purpose. The exact legal scope of each retainer remains matter-specific; a fee claim, pagaré or enforcement act is not improper merely because it is adverse to a former client.

The statement we invite Cuatrecasas to make

If accurate, Cuatrecasas can put the following on the record:

“We have not used, and will not use, confidential, privileged, strategic or former-client information obtained through our work for Aweswell/LPB or the Sun Park rescue to advantage an adverse party or an undisclosed connected recipient. We will not instrumentalise the four Matkator pagarés, the Cambiario, the ETJ, any adjudication, remate cession, assignment or residual enforcement position as a concealed route to transfer control or value to an adverse party. We will account once for every invoice, WIP item, pro-forma, pagaré, payment, credit, adjudication value and recovery. Where the law permits disclosure, we will identify or exclude any contemplated third-party recipient and explain the applicable conflict, confidentiality, KYC/AML, approval and information-barrier controls. We will preserve the relevant records and correct any factual error in this public reconstruction.”

They may adopt it, qualify it, reject it, or replace it with their own precise statement. Silence is not treated as guilt.

Ten finite questions for an on-the-record answer

#Question to CuatrecasasWhat would close it
1Will the firm state that former-client confidential, privileged or strategic information has not been and will not be used to advantage an adverse party or connected recipient?A clear statement plus a non-privileged description of conflict/information-barrier controls.
2What is the legal and accounting bridge from work/invoices principally documented to Aweswell/LPB to four Matkator pagarés and a €182,517.72 Matkator judicial principal?Original instruments, cause, authority, accommodation/guarantee/assumption evidence and work-allocation ledger.
3Was there any side letter, security, accommodation, guarantee, assumption, mandate or other agreement by which Matkator undertook liability for that work? The instrument and approval chain, or a clear statement that no such separate document exists.
4Has any third-party recipient, assignee, adjudicatario or remate transferee been identified, approached, approved, discussed or contemplated? If none, say so. If one exists, identify what can lawfully be disclosed and the conflict/KYC/beneficial-owner controls applied.
5Will every invoice, WIP item, pro-forma, pagaré, interest line, cost award, payment, set-off, adjudication credit and later recovery be cross-credited once and only once? One single-satisfaction ledger.
6What internal review authorised the transition from rescue adviser/former-client counsel to affirmative recovery, adjudication and possible remate cession against Matkator?Non-privileged decision chronology, matter ownership, conflict/risk review and approval chain.
7What did the firm know about the Aweswell/LPB/Matkator entity structure, mixed title, hotel integration and adverse-control dispute when the instruments were accepted and when later enforcement choices were made?Engagement/matter-opening records, contemporaneous advice and source-qualified chronology.
8Does Cuatrecasas deny that its current recovery architecture could be used as a side-door route to confer economic leverage over the former-client investment perimeter?A reasoned denial or explanation tied to the instruments, debt allocation and beneficiary controls.
9Will the firm preserve all relevant matter-opening, DMS, billing, Collections, instrument, conflict, risk, KYC/AML, recovery, ETJ and assignment/cession records?Confirmation of preservation or an equivalent defensible retention measure, subject to law and privilege.
10Which factual proposition on this page does Cuatrecasas say is wrong, incomplete or unfairly framed?A response with primary records; Project Sun Rock will preserve the original version and publish warranted corrections.

Claim perimeter ≠ current realization target

Finca 8.584 is the exact presently identified ETJ auction/adjudication target. It is not the perimeter of the Cuatrecasas claim. The documentary record includes issued invoices, unpaid invoices, WIP/unbilled work, two later claim principals, interest/costs and a February 2022 grouped debt figure. Any lawful unsatisfied balance and any other Matkator-asset reach must therefore be audited independently from the status of 8.584.

June 2020: the recovery function also received the former client's substantive case file

26 May: Cuatrecasas communicates withdrawal from representing Aweswell in Concurso 36/2012 because of non-payment.

2 June: during the fee discussions, Gil sends Íñigo a five-page draft letter, a private 25-page Playa Blanca project annex and hotel-state material. The package connected the fee discussion with the client's position on the Community debt, IA conduct, financing, alleged estate harm, CAM/minorities and the FTI/Meeting Point project.

3 June: Íñigo replies that, «after checking internally», he cannot proceed with the draft and separately says the matter is «out of my hands», identifying Plácido Molina and Juan Francisco Rodríguez Estella from the «claims and collection dept» as responsible for the file.

23 June: Gil sends those recovery leads the original letter and the «Summary of the situation and Estate of the Hotel (LPB's masa active)», saying it was «key to resolve the issues regarding the work done».

Limited but material significance: the 2-Jun-2020 draft was conciliatory, thanked the firm, acknowledged categories of outstanding fees and sought a cooperative resolution; it was not a formal misconduct complaint against Cuatrecasas. This does not prove that Collections accepted the former client's allegations, that a conflict breach occurred or that recovery was improper. It does prove that the recovery function received the former-client substantive context before the later claim architecture developed. The governance question is what former-client, professional-secrecy/confidentiality, conflict, DMS/information-segregation and recovery-approval controls operated from that point.

Issued invoicesThe located July-2019 schedule contains 22 issued invoices with €327,608.32 invoice-face total: 20 addressed to Aweswell and 2 to LPB; none in that schedule is addressed to Matkator.Native engagement authority, work-to-entity allocation and complete accounting ledger.
Paid / unpaid16 invoices reconstruct as settled; six issued invoices total €136,830.72 unpaid. Cuatrecasas also presented the schedule after netting a €1,000 retainer.Bank-level receipt, VAT and credit-note reconciliation.
2019 WIP / estimate€152,424.95 was described in the controlled schedule as not issued / WIP-estimate material, not as 22 additional issued invoices.Time entries, matter IDs, approval, conversion into later invoices/pro-formas/instruments.
June 2020 collectionsCuatrecasas Collections separated €136,830.72 of unpaid bills from €161,738.75 of work carried out, both plus VAT, describing roughly €400,000 pending. Before and during that routing, the firm received the 2-Jun-2020 letter and private 25-page Sun Park/LPB annex; on 23 June those materials were sent directly to the Claims & Collection leads. Why the 2020 unbilled-work figure differs from the 2019 WIP figure and what was later billed or instrumented; also identify the former-client/conflict/confidentiality and matter-ownership controls applied when the substantive file entered recovery.

February 2022 grouped demandCuatrecasas stated two ongoing judicial claims together totalled €441,463 including principal, interest and costs and said payment would fully clear the position.Complete itemised ledger showing every invoice/WIP/pro-forma/pagaré/interest/cost and every credit exactly once.

Entity-attribution audit

AWESWELL LIMITED

Documented former client and principal recipient in the located invoice schedule. Direct collection/settlement dialogue existed: in June 2020 Cuatrecasas circulated a draft for Gil Marer to sign on behalf of Aweswell acknowledging a defined unpaid-invoice amount plus additional work. That draft was a Cuatrecasas proposal, not a signed admission by Aweswell.

Luchy Playa Blanca / LPB

Documented subject of substantial insolvency work and recipient of two invoices in the July-2019 schedule. May-2018 emails also show Cuatrecasas chasing identified LPB invoices. Cuatrecasas later withdrew from representing Aweswell in Concurso 36/2012 citing prolonged non-payment.

Matkator

No issued invoice to Matkator appears in the located July-2019 22-invoice schedule. Matkator later appears as maker/obligor of four pagarés and as defendant/executed party in Cambiario 1048/2019 and ETJ 163/2020. A formal engagement/mandate by Matkator for the relevant underlying work has not yet been located in the controlled sources. This page therefore describes Matkator as a separate company within the investment perimeter and does not assume an unproved parent/subsidiary relationship.

Important legal boundary

The absence of a located Matkator invoice or engagement does not by itself defeat a pagaré or prove misattribution: an autonomous instrument, guarantee, assumption or other valid accommodation may create liability. The repository therefore asks for the instrument cause, authority and accounting bridge rather than assuming the answer.

Collection correction: what the sources do and do not permit us to say

Superseded proposition: “Cuatrecasas never demanded Aweswell.” Current emails contradict that categorical statement. Cuatrecasas pursued payment/settlement with Gil/Aweswell and chased LPB invoices.
Still open: this review has not located a separate judicial action against Aweswell in the UK or Spain for the same fee universe, a distinct formal demand served on the hotel as an operating unit, or proof that Cuatrecasas lodged/proved its own fee claim as creditor in Concurso 36/2012. Those are evidence gaps, not proof of non-existence.

Billing-fraud allegation under test

The repository should test, not presuppose, the following finite propositions:

TestEvidence needed
Work and instructionEngagement letters, matter openings, instructions, time entries, deliverables and responsible professionals.
Invoice accuracyNative invoices, narratives, rates, VAT, timecards, credit notes and payment records.
WIP conversion2019 WIP → 2020 unbilled work → pro-forma → invoice/pagaré/claim mapping.
Debtor attributionWhy Aweswell/LPB work or billing was legally attributed to Matkator, with any assumption/guarantee/accommodation.
Instrument cause and authorityOriginal front/back pagarés, signing capacity, consideration/cause, approvals and contemporaneous communications.
Claim overlapAllocation ledger proving Claim 1, Claim 2 and WIP do not claim the same work/value twice.
Court presentationWhat was represented or omitted in Cambiario/ETJ and whether any difference was materially capable of affecting a judicial disposition.
Single satisfactionEvery payment, credit, set-off, adjudication value, cession consideration and remaining balance.

Concurso 36/2012: presence is verified; creditor proof is not

Cuatrecasas was plainly present in the LPB insolvency as counsel for the Aweswell/LPB side and filed/handled insolvency work. In May 2020 it withdrew from Aweswell representation because of unpaid fees. The present controlled search has not located proof that Cuatrecasas itself communicated, proved or sought recognition of its own fee credit as a creditor in Concurso 36/2012. The correct repository question is therefore whether such a creditor filing existed and, if so, how it reconciles with the later two-claim/pagaré structure.

Transfer, remate and Acosta Matos hypothesis

Verified: Cuatrecasas's 3 September 2026 ETJ opposition asks for adjudication of finca 8.584 and the faculty to cede the remate to a third party.

Not verified: a completed adjudication, a completed remate cession, transfer of the whole underlying credit, identity of any assignee/recipient, or any Acosta Matos/CAM/HNT beneficiary.

Project hypothesis under test: Gil Marer asks whether the broader claim architecture could create transferable economic leverage over Aweswell through Matkator and whether any eventual recipient/beneficiary connects to the Acosta Matos perimeter. The repository does not adopt the proposition that the beneficiary “can only be” Acosta Matos. It requires instrument-level evidence: assignment/cession documents, consideration, KYC/beneficial-owner data, communications, source of funds, accounting and any link to the hotel perimeter.
