LPB held a majority real-estate position, not 100% of Sun Park. Matkator and other owners retained their own rights.
PROPERTY → FINANCE → OPERATION → ENFORCEMENT → INSOLVENCY → ASSIGNMENT → TITLE
LPB property, bank finance, hotel operation, owners’ governance and later credit assignments converged around Sun Park. The evidential task is to reconstruct where they intersected and where they remained legally distinct.
Convergence does not mean identity. A financial decision affecting the same platform does not automatically make the creditor owner of the hotel, LPB’s insolvency the insolvency of every owner, or the operator owner of the properties.
LPB held a majority real-estate position, not 100% of Sun Park. Matkator and other owners retained their own rights.
Loans and security created creditor rights. Being mortgagee or assignee did not, by itself, equal ownership or operating authority over the whole complex.
CEXP and later Monterecco/Pink appear in a distinct operating/tourism layer. Spanish Monterecco Sun Park, S.L. → Pink Canary Services, S.L. is a name continuity, not a successor company.
Insolvency 36/2012 concerned LPB and its estate. Its powers did not automatically absorb the property, income, contracts or rights of the other perimeters.
LPB’s majority Sun Park position and its financing formed the patrimonial starting point. The exact composition must remain property-by-property; the complex was always mixed ownership.
Monterecco Sun Park Limited acquired the LPB shares from Multimatrix; later came the management decision, Spanish publicity deed, Registry presentation and BORME record. Monterecco Sun Park Limited was later renamed Aweswell Limited: the same UK company, not a transfer to a successor.
The viability plan already described Summers Villages, Sun Park Living and a proposed tour-operator lane. The business and direct-distribution architecture therefore pre-dated the insolvency proceeding.
The primary Mortgage Enforcement 90/2012 diligence schedules 158 properties and fixes auction for 22 June. That pressure explains the urgency of the defensive insolvency filing without deciding the whole banking or business causation question.
The court received and declared LPB’s insolvency before the auction. The proceeding reached LPB, not the whole hotel or CEXP, Matkator, Aweswell or other owners.
The creditor position passed through SAREB and Promontoria Holding 122 B.V. to the 20 October 2017 assignment to Construcciones Acosta Matos, S.A. Each transfer requires its own title, balance and scope.
CAM’s entry as credit assignee coincides in time with a phase involving access, security, owners’ governance and later material control that must be reconstructed from each actor’s own acts. That coincidence does not automatically convert the credit into authority over the whole hotel.
Later adjudication/dación and the eventual termination of Mortgage Enforcement 90/2012 are later stages. Later title does not retrospectively authorise every earlier act of control or commercialisation.
Enforcement with an imminent auction is the documented immediate trigger. The filing also followed earlier viability and restructuring work.
The order recorded assets above liabilities, but the historical test concerned regular payment of due obligations. Asset value and liquidity must be analysed separately.
No single figure resolves it. Financial products, payments, default, governance, operation, receivables, interference and later decisions belong to distinct causation lanes.
LPB and its estate, according to each procedural phase and order. Any practical reach into other rights requires an independent documentary basis.
The unit-by-unit sale created a structural vulnerability. Gil places the alleged root cause in non-completion or breach of the 2008 transaction by the perimeter associated, in specific acts, with Montelanza, S.L. and Molina-linked owners, and in its relevant later acts or omissions; the 22 June 2011 minutes are the first located Community matrix; Bankia enforcement/auction is the documented immediate timing trigger for the 2012 filing. Each seller, property, obligation, person, act and effect requires individual proof.
Gil also recalls that Garrigues recommended the Monterecco route and asks for its evidence and records custody. The firm’s first currently verified activity is dated 28 March 2012, after the 1/6-February instruments. Nothing here establishes the firm’s acceptance of his account or professional liability, and naming it neither publishes nor indiscriminately waives confidential communications, which remain subject to document-by-document legal review. Declaration 007 · Declaration 008.
Each later credit holder may have its own duties to verify what it acquired, for what amount and on what documentation. But assignment does not automatically make the assignee responsible for every earlier act by the bank, nor does it absolve earlier actors of their own conduct.
The PH122 → CAM assignment record shows why credit ownership, recognised amount, acquisition price and any opportunity to challenge must be separated.
When the same asset later appears in RICPE, RIC, regional incentives, ERDF and MYND, the traceability question is what each new gatekeeper checked about ownership, availability, perimeter and authority. Later formalisation, finance or public support does not automatically resolve earlier patrimonial disputes.
Equally, an earlier dispute does not justify concluding automatically that every later finance, incentive or operation was unlawful. Each layer requires its own file.
Original acquisition agreement and schedules; property-by-property reconciliation; complete bank and Mortgage Enforcement 90/2012 files; 2011–2012 cash-flow record; hotel-operation and reservation history; SAREB/PH122 data room; protocol 2,248 and price; 2017–2018 access/control matrix; adjudication/dación and CAM→HNT allocations; and unified accounting that prevents both double recovery and missing recovery.
