THE RESERVE CARD · AN UPSTREAM DEPENDENCY

If the PH122→CAM credit is removed from the history, how much of the later route to the hotel still stands?

Por Derecho does not present Article 1535 as automatic title to the hotel. It presents it as a question that sits before adjudication, HNT, MYND and later financing layers: if the credit assigned to CAM could lawfully have been extinguished at CAM's actual acquisition cost — plus the statutory additions — the historical model has to be recalculated from that point.

RESIDUAL RESTORATION PATHWAY

One question remains upstream of everything else: what if CAM's route into the later hotel position began with a credit that LPB could lawfully extinguish on CAM's own acquisition-cost basis? Until the Article 1535 requirements, the nine-day trigger history, the 2018 procedural-control/withdrawal sequence and the appropriate restorative consequence are determined, this issue should not be treated as a closed historical footnote.

1. What Article 1535 actually does

Where its technical requirements are met, Article 1535 CC allows the debtor to extinguish a sold litigious credit by reimbursing the assignee the price paid, qualifying costs and interest on the price. It does not technically make the debtor the purchaser/subrogated holder of the credit. The statutory text ties the nine days to the point at which the assignee demands payment.

Official sources: Civil Code, Article 1535; STS 728/2020; Supreme Court, 10 May 2021.

Critical boundary. The Supreme Court applies the mechanism strictly and treats the nine-day period as caducity. Por Derecho does not state that the right is necessarily alive today, that the clock is automatically “frozen”, or that a criminal proceeding by itself suspends the period.

2. Why this works as a reserve card

A · Literal exercise

Hypothesis to prove: no valid demand for payment ever triggered the period, or another legally sufficient basis leaves literal Article 1535 exercise open.

B · Restoration

If literal exercise is no longer mechanically possible, examine whether LPB can be restored to the economic/juridical position it would have occupied had the Article 1535 opportunity been effectively exercisable.

C · Equivalent value

If the credit was consumed or transformed, the issue may migrate into tracing, restitution, unjust enrichment, ineffectiveness/nullity of dependent acts or damages, always act by act.

3. The bridge that must be tested

PH122 credit → CAM assignment → CAM creditor recognition → later insolvency leverage → adjudication/dación → CAM/HNT → finance/refurbishment → MYND operation

The reverse-engineering test removes the upstream bridge and asks what survives independently:

Assume effective Article 1535 exercise at the relevant time: LPB reimburses CAM its acquisition price and statutory additions; the assigned credit is extinguished. What creditor position, adjudication capacity, assets, HNT transfer and later value remain legally intact without depending on that credit?

This is a counterfactual causation test. It does not assume that every downstream act necessarily falls.

4. The 2017–2018 file matters because the route became judicially operational

The controlled sequence includes: PH122→CAM assignment on 20 Oct 2017; LPB's request for deed/price/economics; admission of PP/DP 1041 by Court of First Instance No. 2; the insolvency administrator's termination of Cristo Suárez Pimentel's specific formal LPB mandate on 25 Jan 2018; the 15 Feb 2018 Commercial Court order adverse to LPB's litigious-credit theory but partly favourable on amounts; and the 5 Mar 2018 Decree recording that LPB requested withdrawal, CAM did not oppose and the proceeding ended, with Borja recorded as LPB's lawyer. A 13 May 2024 judicial-office act again confirms that the file was archived because of that claimant-side withdrawal.

5. The nine-day trigger is now a P0 forensic question

Deed disclosure must not be equated with the statutory trigger without further legal analysis. The file must locate every CAM act capable of amounting to a demand for payment, with date, content, recipient, service and legal effect.

Preservation question: if no valid historical trigger occurred, what declaratory or precautionary protection can be obtained before a fresh demand for payment creates a potentially irreversible nine-day window?

Por Derecho does not publish an already-established “right to freeze the clock”. The narrower thesis is that an unresolved statutory position should not be deprived of practical utility before a competent court can determine its existence, historical treatment and proper remedy. The availability of precautionary protection should be tested by counsel before any step capable of provoking the period.

Criminal prejudiciality under Article 40 LEC may matter where an existing criminal case investigates facts underlying the civil claim and its decision could decisively affect the civil outcome; it is not by itself a general tolling rule for caducity.

6. For anyone relying on downstream stability

This page is not only relevant to LPB. For any lender, investor, operator, adviser, authority or other person whose economic or professional interest depends on the CAM→HNT→MYND chain and its financing layers being unassailable, Article 1535 is an upstream due-diligence dependency.

Later transactions may make the remedy more complex. They do not by themselves answer the upstream question. The protection of every downstream right must be analysed according to its own title, registration, good-faith protection, consideration, standing, causation, limitation/caducity and applicable law.

7. What still has to be proved

  • complete deed/protocol 2,248 and schedules;
  • total and credit-allocated price, payment date and proof of payment;
  • complete ledger of possible CAM payment demands;
  • pre-assignment declaratory controversy, credit by credit;
  • appeal/finality chain for the 15 Feb 2018 order;
  • underlying PP/DP 1041 withdrawal pleading and internal instruction chain;
  • any historical Article 1535 exercise, deposit or reservation;
  • tracing of the credit into adjudication, dación, title and later value;
  • current analysis of precautionary relief, standing and alternative remedies.
This is not the claim “Article 1535 automatically gives LPB the hotel”. It is the more disciplined proposition that until the upstream creditor bridge, the nine-day trigger and the 2018 procedural sequence are properly determined, the downstream route cannot be analysed as though that dependency never existed.
