CURRENT SUCCESSOR CONTINUITY CONTROL · 3 SEPTEMBER 2026

Cuatrecasas · Aweswell · Matkator · La Laguna

Source-safe entrypoint for the connected professional, instrument, title and enforcement history. It preserves factual connectivity while keeping every company, proceeding, title, asset and allegation legally distinct.

Current controlled position

Procedural chainTF-CIV-001 Cambiario 1048/2019 → TF-CIV-002 ETJ 163/2020. DP 748/2026 is a separate criminal proceeding linked only where a primary source proves the bridge.
16 July / 1 SeptemberThe DP 748 reform was partly allowed only because the first dismissal lacked sufficient reasons. Provisional dismissal was maintained; appeal and possible reopening with further indicia were expressly preserved.
3 September ETJ filingCuatrecasas asks for enforcement to continue to adjudication of registered property 8584 and maintains the power to assign the successful bid/remate to a third party.
What that does not proveNo completed assignment, assignee, beneficiary, deception, criminal intent or liability is established by the 3 September party filing.

Evidence correction: invoicing is not judicial pursuit

Controlled-corpus finding as at 3 September 2026. The reviewed record documents invoices, proformas and extrajudicial payment discussions with Aweswell/Gil. It does not presently identify a judicial fee-recovery action brought by Cuatrecasas against Aweswell in Spain or the United Kingdom. The identified judicial route was brought against Matkator through Cambiario 1048/2019 and ETJ 163/2020.

This is a finite corpus finding, not universal proof that no other proceeding could exist. It also does not establish that Matkator lacked an autonomous or guaranteed obligation, that the promissory notes were invalid, that all invoiced sums were due, or that any procedural impropriety occurred.

service → professional client → invoice recipient → alleged debtor → promissory note → issuer/signatory → corporate authority → proceeding → asset enforced

Do not use either inaccurate shorthand. The record does not support “Cuatrecasas never invoiced or asked Aweswell to pay.” Nor should extrajudicial correspondence be described as “Cuatrecasas judicially pursued Aweswell for the fees.”

Finite title-formation question

The principal open issue is not merely whether professional fees existed. It is how the claim became an enforceable Cambiario title against Matkator.

Promissory notesRecover complete front/back, endorsements, guarantees, issue and custody trail, invoice allocation, signatory and authority.
Matkator capacityIdentify its registered office, administrator/representative and the legal capacity of each possible contact at every material date.
Service chronologyRecover every address enquiry and attempt, the application for service by public notice, what was represented to the court, the authorising order, publication and title chronology.
Direct communicationsCompare any direct communications with Gil against the exact service dates. Contact is relevant only if it could lawfully and practically have assisted service on Matkator.
Testing rule. A service/title hypothesis requires primary evidence of useful location information known at the material time, a materially relevant representation or omission to the court, resulting lack of effective participation before title formation, and a causal route into ETJ 163/2020. Direct contact alone is not proof that edictal service was defective.

Two non-merged analytical nuclei

1 · Formation of titleCambiario claim, notes, authority, service, public notice, participation, judgment/title and finality.
2 · Later enforcementWhat was known before each 2024–2026 ETJ filing, what was represented or omitted, and which judicial/patrimonial act was sought.
Current consequenceAdjudication of finca 8584 and possible assignment of the successful bid are presently requested, not proved completed.
Criminal boundaryDP 748 must concern a finite autonomous act and cannot operate as a general appeal from civil enforcement.

exact act → actor/capacity → knowledge by that date → exact representation or omission → requested/induced judicial act → patrimonial consequence → prejudice/benefit

Article 569 / Article 40.1 control

Cuatrecasas contests the strict conditions for suspending enforcement on grounds of criminal prejudiciality under Article 569 LEC. A separate question, reserved for counsel and the court, is whether any concrete facts appearing in the civil record engage the distinct communication mechanism under Article 40.1 LEC.

No conclusion is published here. The website does not state that either article applies. It records that they are different procedural questions and that failure to meet a suspension test does not, by itself, decide every possible treatment of concrete facts appearing in the record.

Counsel-coordination and privilege boundary

A lawyer-client coordination call took place on 3 September 2026 and working materials were circulated during or immediately after it. The only public-safe operational proposition is that coordinated professional review of the two La Laguna workstreams was contemplated.

Not public and not inferred. The raw transcript, private legal advice, unapproved litigation strategy and confidential negotiating positions are not published. Circulation or discussion does not establish that counsel adopted a theory, approved a pleading, agreed a procedural measure or committed to a settlement meeting or new claim.

Legal separation without factual atomisation

Aweswell, LPB and Matkator remain different legal persons. Matkator is not LPB; finca 8584 is not automatically an LPB insolvency-estate asset; ETJ 163/2020 is not procedurally inside Concurso 36/2012.

Controlling rule. No conflation of legal personalities, patrimonies or proceedings — and no artificial fragmentation of source-proved facts concerning the same hotel, mandate, knowledge history, physical transformation or economic consequence.
