Comparative analysis · valuation · hotels · Canary Islands

€8 million, €85 million and 71% of the equity.

The figures come from different transactions: sale of Anfi’s remaining 50%, award of Mar Abierto/Taurito hotel assets and debt capitalisation in Inparsa. They are not directly comparable. That is precisely why they expose the question every proceeding must answer before control changes: what was valued, at what date, with which debt and for what purpose?

Four matters, four legal subjects

A number acquires meaning only after its perimeter is defined.

A shareholding, a going concern, insolvency assets and a fragmented tourism unit are not the same asset. Nor are a sale, an award and debt-to-equity conversion the same mechanism.

Anfi / Lopesan
FEB 2025

Inparsa
SEP 2025
Restructuring plan, debt treatment and capitalisation.Approximately 71% equity for proponents; the judgment refers to €63.606m affected financial debt. How did enterprise value, affected debt and equity allocation connect?
Sun ParkUnitary hotel across disputed properties, units and third-party rights; LPB insolvency and later operational control. No single simplified public figure correctly describes the perimeter. What belonged to LPB, what secured debt, what belonged to third parties and what value depended on the single operating unit?
Warning: €8m and €85m do not describe two valuations of the same asset. Treating them as if they did would mislead. The valid comparison is the discipline of the method and transparency of the bridge from value to outcome.

Working dictionary

Six measures a headline can collapse into one.

Assets

Value of the property

Real estate, equipment, licences and other items individually or as a portfolio.

Enterprise

Value of the operating business

Its cash-generating ability, contracts, brand, management and continuity before value is allocated among funders.

Equity

Value to shareholders

Enterprise value less debt and other claims, adjusted for cash, contingencies and corporate structure.

Liquidation

Value under a forced sale

Driven by time, competition, information, costs, continuity and whether assets are sold together or apart.

Security

Mortgage liability

A registered cap or security coverage is not automatically debt outstanding or market value.

Price

Transaction consideration

It may reflect assumed debt, conditions, risk and the presence or absence of competition. It does not alone prove fair value.

Test for decisions, experts and bids

Eight questions before calling a figure “value”.

Subject

Exactly what was valued?

Shares, assets, productive unit, enterprise, security, concession or contractual rights.

Date

What was the cut-off?

An open, closed, financed or regulatorily uncertain hotel changes over time.

Debt

What balance was due?

Separate principal, interest, contingencies, security and disputed debt.

Ownership

What belonged to the debtor?

Valuation cannot silently absorb third-party property, units or rights.

Method

Which assumptions drove the result?

DCF, comparables, cost, liquidation, occupancy, CAPEX, discount rate and sensitivity.

Market

Was there genuine competition?

Publicity, time, data access, deposits and minimum increments shape the observed price.

Alternative

Was a less harmful exit tested?

Payment, refinancing, deposit, orderly sale or continued operation with investment.

Reason

Is the bridge written down?

The decision should explain how the chosen value leads to the allocation, award or change of control.

Sun Park bridge

A single operating unit can create value without erasing ownership.

Sun Park adds a further problem: tourism value depended on unitary operation while ownership and certain rights were distributed. CEXP, the Community–CEXP agreement, the documented 2012 cession to Monterecco/Pink and the 159-unit/477-bed tourism registration form part of the operating history; they do not automatically place all property under one owner.

Documented thesis

Separate title, authority and operation

CEXP’s collective provenance and later cession explain an asserted operating bridge. Its corporate authority, common-area scope and effect on third parties still require the authorising instrument and a unit-by-unit map.

Project Sun Rock allegation

Fragmentation destroyed value

Gil Marer says breaches of the statutes, operating agreement and single-operation regime enabled dissident use and decisions that harmed the whole. That thesis requires technical and legal testing; it is not presented as a judicial finding.

The comparative lesson: preserving one operating unit may be economically rational; legally it requires identifying title, the body that granted authority, property belonging to others and allocation of the value created.
