BRIDGE FILE · MANDATE → HOTEL → FEE INSTRUMENTS → ENFORCEMENT → RIC/CNMV → LATER FUNDING

Cuatrecasas: mandate, knowledge, enforcement and RIC continuity.

This page prevents the professional mandate, LPB Insolvency 36/2012, Matkator enforcement and the later RIC/CNMV/public-funding record from being read as isolated stories. It maps where they meet and keeps each legal personality and evidential boundary intact.

Controlling boundary. Documentary connections do not themselves prove professional negligence, aggravated negligence, enablement, causation, disciplinary breach, civil liability or criminal responsibility. Those remain allegations or legal questions. A later benefit does not prove an earlier agreement; a subsidiary debt does not automatically become a parent debt.

THE HIERARCHY

The LPB concurso was a workstream, not the whole mandate.

The controlled record identifies Aweswell Limited as the UK client/group company and shows Cuatrecasas dealing with the wider Sun Park recovery, restructuring, financing and ownership perimeter. The repository therefore treats Concurso 36/2012 as one nested LPB proceeding, not as a substitute for the whole Sun Park mandate. Any historic erroneous spelling of Aweswell is a transcription or source error, not an alias of AWESWELL LIMITED; a faithful quotation must be labelled as erroneous.

1 · Aweswell Limited / UK group layer
Parent/client and investment layer.
2 · Cuatrecasas professional relationship
Multiple workstreams: finance, restructuring, litigation, insolvency, ownership/control and recovery.
3 · Wider Sun Park / hotel-mobbing record

Nested workstream · LPB Insolvency 36/2012
LPB and its estate only; not automatically Aweswell, Matkator, CEXP, the whole hotel or third-party property.

MAY–JUNE 2020 · MANDATE BOUNDARY AND INTERNAL ROUTING

Before the 2021 RIC/CNMV notice, the file had already passed through a documented transition from advisory work into Claims & Collection.

DOCUMENTED FACTS

26 May → 23 June 2020

  • 26 May: formal Cuatrecasas withdrawal from representing Aweswell in the insolvency proceeding because of non-payment.
  • 2 June: Gil sends Íñigo a five-page draft letter, a private 25-page Playa Blanca project annex and hotel-state material.
  • 3 June: Íñigo replies that, «after checking internally», he is not permitted to proceed with the draft.
  • 3 June: he identifies Plácido Molina and Juan Francisco Rodríguez Estella from the «claims and collection dept» as responsible for the file.
  • 23 June: those recovery leads directly receive the original letter and the hotel/estate summary because it was «key to resolve the issues regarding the work done».
WHAT CANNOT BE INFERRED

Routing does not decide the merits

  • It does not prove Cuatrecasas accepted the client's allegations.
  • It does not prove the exact scope of the «internal check» or which function performed it.
  • It does not prove a conflict breach or misuse of confidential information.
  • It does not make later recovery unlawful.

The relevance is governance: the recovery function received the former client's substantive file before the later recovery architecture continued.

Bridge into 2021: the 8 March 2021 RIC/CNMV notice did not arrive at a firm with no context. It followed a formal withdrawal, a substantive June-2020 package, an internal check, routing into Claims & Collection and separate continuing custody/proceeding activity. The question is how those knowledge and function lanes were preserved and segregated.

30 SEPTEMBER 2026 · KNOWLEDGE THEN / MATERIALITY LATER

What Cuatrecasas knew in 2021 and what happened later should be read together, without backdating future knowledge.

BY 8 MAR 2021

Knowledge communicated at that time

  • The same Sun Park asset and its control/title dispute.
  • Presentation of the project within the RIC Private Equity perimeter.
  • Express former-client objections to the ownership/availability premise.
  • Communications to CNMV and tax authorities.
  • Alleged continuing harm and a request for investigation/preservation.

This column defines what the 2021 notice can establish.

AFTER 8 MAR 2021

Later economic and institutional materiality

  • July 2021 RICPE certification: 54 CAM / 190 LPB / 18 third-party perimeter and outstanding conditions.
  • Late-2021 investment reactivation.
  • 21 February 2022 deed and later Registry/corporate effects.
  • Later RIC financing.
  • Regional Incentives GC/836/P06.
  • Current public EU co-financing representation through Regional Incentives and current MYND Yaiza operation.

This column explains why the earlier notice later became more material; it does not establish retroactive knowledge.

Mandatory temporal firewall: Cuatrecasas must not be treated as knowing in March 2021 about later decisions, aid, funds or documents that did not yet exist. The Compliance question is narrower: what did the firm do with the information it did receive, how was it classified and preserved, and how were later conflicts, confidentiality and new decisions governed as the economic significance of the same asset increased?
Finite institutional question: which matter, alert, conflict, information barrier, DMS/archive, Risk/Compliance or continuance decision captured the confidential 8 March 2021 RIC/CNMV transmission and the later 2024–2026 checkpoints?

MANDATE INVERSION · EXECUTION PERIMETER

One property is presently being realised. The monetary enforcement is against Matkator.

CURRENT OBJECT

Finca 8,584 only

The official auction record identifies a single lot: finca registral 8,584, historical apartment 758. Cuatrecasas then requested adjudication at 70% of auction value with reservation of the right to assign the remate to a third party.

EXECUTED DEBTOR

Matkator, S.L.

ETJ 163/2020 names Cuatrecasas as executing creditor and Matkator as executed debtor. The present remate object is therefore narrower than the enforcement-debt perimeter.

WIDER EXPOSURE

Other Matkator assets may matter

If the adjudication does not satisfy the enforceable balance, further enforcement could potentially reach other attachable Matkator assets or patrimonial rights, subject to the court order, proportionality, legal restrictions and the procedural requirements of the LEC.

The distinction is decisive: the repository must never say that several Matkator units are presently being auctioned if the controlled ETJ record identifies only finca 8,584. But it must equally avoid the opposite error of implying that the creditor's monetary claim is legally confined forever to that one finca.

What “other Matkator assets” can mean

Potentially attachable property can include money/accounts, patrimonial credits and rights, rents/fruits, shares or interests, movable assets and real estate. A litigation claim or receivable should be described as exposed only where it is a legally attachable patrimonial right and is sufficiently identified; not every procedural or personal right is executable.

Why this is a fee-coherence issue

The controlled 22 November 2018 email records that the pagarés were delivered to cover pending invoices and incurred costs. The 11 June 2019 financing email separately identified Matkator's free assets as available collateral within the rescue-financing discussion. The later use of fee-derived instruments against Matkator therefore supports a mandate-inversion question: did the machinery used to collect the mandate's fees become capable of stripping the patrimonial base the mandate was meant to finance, protect or recover?

Why this can be more than “disloyalty”

The issue is not merely interpersonal loyalty. It can bear on contractual performance, conflict, good faith, causation, damages, the allocation/cause of the fee instruments and the net amount—if any—ultimately recoverable after a full invoice-by-invoice and loss analysis.

THE ACHILLES-HEEL / GATEWAY DISTINCTION

Matkator can be a gateway into the client's economic position without becoming an automatic execution against Aweswell.

DOCUMENTED GROUP CONNECTION

Aweswell → Matkator

In July 2019, while discussing funds, Íñigo de Luisa expressly checked his understanding that Aweswell held 100% of Luchy and Matkator. That makes Matkator's asset base economically material to Aweswell's investment, rescue and recovery position.

Loss of Matkator property, receivables or hotel-related patrimonial claims can therefore reduce the value and strategic utility of the subsidiary owned by the UK client.

CORPORATE-PERSONALITY FIREWALL

No automatic parent liability or asset seizure

Aweswell is not identified as the executed debtor in the October 2024 adjudication request. A Matkator enforcement does not, merely because Aweswell owns Matkator, permit seizure of Aweswell's own separate property.

The accurate “gateway” is consequently an economic/control/equity gateway: depletion of a wholly owned subsidiary can penetrate the value of the client's investment and constrain the parent's hotel-recovery options. Any direct route against Aweswell itself would require an independent legal basis.

Repository formulation: “The current remate is asset-specific; the enforcement debt is debtor-wide; the debtor is Matkator; and Matkator is a documented wholly owned subsidiary within Aweswell's group perimeter. The legal Achilles heel is therefore not automatic veil-piercing, but the ability of a fee enforcement against the subsidiary to deplete assets and patrimonial rights that form part of the UK client's wider hotel-recovery value chain.”

RIC / CNMV KNOWLEDGE BRIDGE

The later RIC story also sits inside the wider knowledge chronology.

2020

Precursor Sun Park record

Sun Park/Playa Blanca dossiers and dispute material were already being put before Cuatrecasas. Exact scope and duty remain workstream-specific.

8 MAR 2021

Direct RIC/CNMV transmission

The controlled email record documents direct transmission to Íñigo de Luisa of a confidential Sun Park/CNMV package including RICPE material and the January 2021 investor-fraud complaint.

17 MAR 2021

Affirmative communication

A preserved 1:26 voice note and subsequent written message are affirmative communications. Their legal significance is separate from the fact that they occurred.

2021 onward

Omission / enablement theory

The client-side allegation is that silence, inaction or insufficient response contributed to later consequences. That requires proof of duty, actual response/non-response, counterfactual and causation.

2025–26

Renewed institutional notice

Internal whistleblower and senior-recipient escalations create later knowledge checkpoints; they do not backdate knowledge of material created later.

Temporal firewall: a 2021 RIC/CNMV communication proves only what was supplied then. It does not prove contemporaneous knowledge of later regional-incentive, EU-co-financing/EU-funding or public-authority records that did not yet exist; the specific fund requires its own file.

The public record separates fact, inference and legal consequence.

WHAT WOULD CLOSE THE OPEN QUESTIONS

Finite production, not rhetoric.

  • Invoice-by-invoice client, workstream, time-entry, pagaré and payment reconciliation.
  • The complete engagement, conflict, withdrawal and handover file for Aweswell, LPB and Matkator.
  • The ETJ 163/2020 certified balance after every payment, cost, interest item and any adjudication credit.
  • A complete Matkator asset/right map, distinguishing owned real estate, receivables, litigation claims, income rights and non-attachable rights.
  • Any completed remate cession, assignee identity, KYC/AML, source of funds, side agreement, registry presentation and beneficial owner.
  • The 2021 RIC/CNMV internal forwarding/escalation record and any contrary advice or action not visible in the client-side archive.

Correction right: contrary primary material should be integrated with equal prominence. Silence is not admission. Association is not participation. A later enforcement act does not erase work actually performed; equally, useful historical work does not immunise later conduct from separate contractual or professional scrutiny.
