INDEPENDENT MATTERS · EXACT 2019 JURISPRUDENCE · SEPARATE EVIDENCE

Two independent client matters. The same 2019 Supreme Court jurisprudence. Different alleged failures.

Edgeworth's pleaded case alleges failure to advise. The independent Aweswell / Sun Rock record is different: it shows that STS 112/2019 was supplied directly to Cuatrecasas, its asserted economic significance was explained, and the judgment was later included again in a live refinancing / insolvency-exit package. The legitimate comparison is therefore not whether one case proves the other, but how material law was identified, communicated and converted into client protection.

Controlling boundary: Edgeworth Capital (Luxembourg) S.à r.l. v Cuatrecasas Gonçalves Pereira LLP, BL-2024-000237 / [2025] EWHC 1014 (Ch), is a separate English High Court claim involving different parties, transaction, retainer, causation and alleged loss. Cuatrecasas denies the Edgeworth claim. The May 2025 judgment was procedural and made no merits finding of negligence, breach, causation or loss. The Aweswell / Sun Rock allegations are likewise disputed and unadjudicated. Nothing on this page transfers liability or findings between the matters.

THE COMPARISON IN ONE SCREEN

Public High Court record

Edgeworth Capital

€213 million pleaded claim. The public judgment records allegations of professional negligence and breach of retainer concerning advice before a June 2019 transaction.

Alleged failure: failure to advise on the implications of two Spanish Supreme Court decisions handed down in February and April 2019.

Status: Cuatrecasas denies the claim; merits unresolved.

Contemporaneous primary record

Aweswell Limited / Sun Rock

31 May 2019: STS 112/2019 was sent directly to Cuatrecasas with the client's asserted economic consequence for the insolvency-interest position explained.

11 June 2019: the same judgment was included again in a live Fiduciam financing / Article 176 insolvency-exit package while Cuatrecasas remained engaged on the security structure.

Open question: implementation, escalation, protection and handover—not mere awareness.

No pattern or propensity inference: two independent allegations involving the same international law-firm brand do not establish repeated negligence, a common plan, common intent or institutional culpability. Each matter still requires its own retainer, duty, knowledge, act or omission, counterfactual, causation and loss analysis.

THE TWO 2019 SUPREME COURT DECISIONS

The jurisprudential bridge can now be identified precisely.

STS 112/201920 February 2019 · ECLI:ES:TS:2019:521Underlying insolvency incident: 3000334/2014. The decision addressed recognition and treatment of mortgage-secured interest within the insolvency creditors' list.
STS 227/201911 April 2019 · ECLI:ES:TS:2019:1222Underlying insolvency incident: 11/2015. It refined the treatment of post-declaration interest, including the distinction between remunerative and default / moratory interest.

The public Edgeworth allegation identifies Spanish matters 3000334/14 and 11/2015, decided in February and April 2019. Those identifiers map to STS 112/2019 and STS 227/2019 respectively. An independent June 2019 Clifford Chance briefing treated the pair as potentially having serious practical consequences in insolvency finance.

AWESWELL PRIMARY CHRONOLOGY

The Sun Rock record is a knowledge-and-implementation chronology.

Cuatrecasas was preparing to discuss the LPB insolvency with a prospective financier and itself identified the interest calculation as disputed and likely to reduce the amount required. Aweswell then sent STS 112/2019 directly to the firm and explained the client's asserted economic consequence. Cuatrecasas acknowledged the importance of the clarification.

Aweswell again attached STS 112/2019 in an email to Cuatrecasas concerning Fiduciam, a proposed Article 176 insolvency exit, blocked proof-of-funds mechanics and the security package. Cuatrecasas acknowledged the material and continued advising on how security could be structured while LPB remained in insolvency.

LPB's reposición expressly invoked STS 227/2019 and Article 59.1 LC against the treatment of post-insolvency default interest. The filed material was subsequently forwarded to Cuatrecasas. This is a later procedural route and should not be collapsed into the pre-June STS 112 chronology.

In the separate Talleres Jinámar matter, the same Mercantile Court treated the February / April 2019 Supreme Court jurisprudence as new and applicable when resolving an actual mortgage-interest dispute. That decision is a practical comparator, not proof that LPB was procedurally identical or entitled to the same result.

What the Aweswell record establishes: STS 112/2019 was not merely available in the abstract. It was placed directly into the Cuatrecasas client / financing record, its asserted economic consequence was explained, and it was supplied again while the firm remained engaged on the financing and security architecture. What this does not establish by itself: breach, negligence, causation, loss, deliberate conduct or the merits of the Edgeworth claim.

SAME JURISPRUDENCE · DIFFERENT ALLEGED FAILURE

The professional-risk question becomes narrower, not more accusatory.

Edgeworth pleaded allegation

Failure to advise

  1. Two 2019 Supreme Court decisions
  2. Allegedly not adequately advised before completion
  3. June 2019 transaction
  4. Alleged lost transaction value / opportunity

JURISPRUDENCE
Aweswell primary record

Knowledge documented; implementation open

  1. STS 112 supplied directly
  2. Economic consequence identified by client
  3. Judgment embedded in financing / insolvency-exit package
  4. Advice, implementation, escalation and handover to be audited

When materially relevant Spanish Supreme Court law was available, how did Cuatrecasas identify, communicate and convert it into timely protection of client value?

That question can be asked across two independent records without treating either allegation as proof of the other.

THE ECONOMIC GATE IN SUN ROCK

Why the interest issue mattered to the rescue architecture.

Debt quantum

Concurso exit

The amount recognised as payable affected the amount the client said had to be funded or guaranteed to conclude the insolvency.

Financing

Ibero / Fiduciam / lender discussions

The debt figure sat inside the financing and security model rather than in a detached academic dispute.

Operation

ONA implementation

The financing and insolvency-exit route was linked to the intended hotel-operation solution. Correct debt treatment therefore had potential transaction significance.

Causation open

What still has to be proved

Whether different professional implementation would probably have changed the court, financing, competition or transaction outcome remains a separate evidential and expert question.

ANSWERABLE QUESTIONS

The records needed to resolve the Aweswell issue should largely exist within the firm's own file.

Receipt and routing

Who received STS 112/2019, who reviewed it, and to which matter team, decision log or work product was it routed?

Advice

What advice followed from the judgment, and what assumptions were used about definitive creditor texts, secured interest and the amount required to conclude the insolvency?

Financing implementation

How was the analysis carried into the Ibero / Fiduciam financing work, the proof-of-funds route, security mechanics and the ONA-linked exit plan?

Procedural implementation

Which court or insolvency steps were considered, allocated, taken, rejected or reserved, and why?

Updating

How was the April STS 227/2019 development incorporated when it entered the later LPB procedural record?

Handover

When the mandate changed, what analysis, deadlines, warnings and implementation logic were transferred to successor advisers?

THE FIRM'S PUBLISHED STANDARD

Knowledge, listening, responsibility, transparency and accountability are part of Cuatrecasas's own public governance language.

This page does not use those values as proof of breach. They provide a legitimate institutional frame for a narrower documentary question: what did the firm do when materially relevant new law was actually placed before it during a high-value client rescue?

What this page does not establish: it does not establish professional negligence in either matter, deliberate suppression of law, a common method or plan, shared evidence, shared privilege, coordinated litigation, equivalent damages, or a causal link between the two clients' losses. The comparison is a source-controlled professional-risk analysis only.

PARTIAL-OVERLAP FIREWALL · PRESERVED CONTROL

A comparator is not evidence. It can identify the questions that deserve an answer.

The newer 16 September documentary comparison preserves the earlier public-safe control cuatrecasas-edgeworth-partial-overlap-20260824. Similar professional-liability questions; different cases. Edgeworth and Sun Rock/Aweswell remain independent matters with separate parties, retainers, evidence, causation, loss and procedural control.

What the UK judgment establishes—and what it does not

The official judgment identifies BL-2024-000237 / [2025] EWHC 1014 (Ch), the pleaded allegation and denial, and the procedural decision. It does not determine negligence, breach, causation or loss on the merits.

Two independent proof chains

Edgeworth's evidence is not relied upon as evidence of the Sun Rock/Aweswell case. Separate records stay separate. No pattern or propensity inference. No shared intent, common plan, borrowed damages or institutional culpability is inferred from the existence of two disputes.

The UK legal route is not being pursued

Sun Rock/Aweswell is not pursuing UK legal proceedings. No UK court action is being pursued, and no UK firm is currently instructed for such proceedings. Any SRA consideration is a distinct, secondary and jurisdiction-dependent regulatory question.

What we are asking Cuatrecasas to do now

Project Sun Rock is the wider accountability and recovery project. The request remains documentary and resolution-oriented: identify the relevant records, correct factual error, preserve evidence and provide a senior route for engagement. independent proof · open resolution lane.

Source and resolution route: official judgment: The National Archives. The comparator does not convert that judgment into evidence of Sun Rock liability. Open the Cuatrecasas resolution invitation.
