# Sun Park governance instruments: 1987 Owners' Statutes and 2008 CEXP material

**Public digital edition — 22 August 2026**

## Source provenance and publication status

This is a source-led public edition of two foundational instrument sets. The image copies were received by a forwarded email. That transmission route does **not** make the Acts or Statutes private or confidential, and does not change their character as governing instruments. It is relevant only to the provenance of the particular digital copies received.

This edition publishes an indexed and searchable account of the operative content needed to understand the documentary architecture, identifies its limits, and allows comparison with an authenticated original. The present page is not a substitute for the Spanish originals or a legal opinion. A page-image facsimile is a separate technical publication layer; it is not withheld because the documents were forwarded by email.

## Custody and integrity record

| Source ID | Description | Pages | SHA-256 of image master | Public status |
|---|---|---:|---|---|
| `SP-CP-1987` | Statutes of the Comunidad de Propietarios / horizontal-property instrument dated 1987 | 24 | `8e23ec5dc71efa42aedbed578120672010eebd203744ddd8b4bb78f4e28a6037` | Public digital edition below; received source image copy recovered and hash-verified |
| `SP-CEXP-2008` | 2008 CEXP statutes-and-transfer compilation, including the 26 May 2008 tourist-operation transfer | 15 | `f5fe1c25116c9845fe9ba26b76c3e8780f4fff5953b233d280369f5892c6b4d7` | Public digital edition below; received source image copy recovered and hash-verified |

The hashes identify the received copies, not an authenticated notarial, registry or official-custody copy. A later certified copy that differs in form, pagination or hash does not by itself establish a contradiction.

## 1. The 1987 Owners' Statutes — what the located copy records

The located statute instrument is an Owners' Community / horizontal-property record. Its Article 6 is the material provision for this project: it records a tourism-exploitation purpose for the complex as a single unit, subject to an exception for the local-storage premises and a qualified owner decision to change that purpose. The working reading of the clause is that the qualified decision refers to at least three quarters of apartments or 66% of the participation coefficients. The scan must be compared visually with an authenticated original before using its punctuation, threshold wording or scope as decisive legal text.

The same instrument distinguishes individual properties, common elements, owner participation and the Owners' Community's organs. It is evidence of the **property-community layer**. It does not itself create a later operating company, identify a Costa Papagayo debtor, convert an operating obligation into an LPB obligation, or prove any later holder's authority.

### Public working extract: Article 6

> The complex is destined to tourist letting or exploitation as one unit, subject to the stated exception for the local-storage premises, unless the Owners' Meeting later decides otherwise by the stated qualified threshold.

This is a controlled translation and navigation extract, not a substitute for the Spanish source or a legal opinion.

## 2. The 2008 CEXP material — what the located copy records

The 2008 compilation records:

1. a 29 April 2008 owners' meeting as the source identified for creation of the Comunidad de Explotación del Complejo Sun Park (CEXP);
2. a 26 May 2008 contract between Montelanza, S.L. and CEXP, stated to take effect on 27 May 2008;
3. a stated CEXP representative power to contract concerning occupation of apartments and premises integrated into that exploitation community; and
4. a contractual allocation under which CEXP accepted the hotel operation and administration in its own name, assumed operating responsibilities and was to make the administrative change-of-holder applications.

The contract text states that CEXP succeeded Montelanza for the defined tourist exploitation, with a transitional mechanism for earlier Montelanza obligations. It refers to staffing, suppliers, tour operators, operation-related public charges, maintenance and a distribution of the operational remainder. It also invokes the Canary Islands single-exploitation framework.

### Public working extracts

- **Creation and representation:** the document records CEXP as constituted by an owners' meeting on 29 April 2008 and identifies the cited governing-body power to represent CEXP in acts and contracts concerning occupation of integrated apartments and premises.
- **Transfer:** Montelanza is recorded as transferring the tourist exploitation of the Sun Park complex to CEXP, effective 27 May 2008.
- **Own-name operation:** CEXP is recorded as accepting the administration and exploitation in its own name, with the result of operations being for its exclusive responsibility.
- **Administrative interface:** CEXP is recorded as undertaking the steps for a change of holder before relevant public administrations, including Yaiza, Cabildo, the Canary Islands Government, Social Security and the Tax Agency.

These are statements contained in the located instrument. They are not a finding that every later action was authorised, that all units were within the mandate, that CEXP remained continuously operative, or that a public authority accepted every proposed change.

## 3. The documentary distinction that must be preserved

| Layer | What these source instruments support | What they do not settle |
|---|---|---|
| Owners' Community | A property-community framework, common elements, participation and a historic tourism-purpose provision | The identity or amount of a later Costa Papagayo liability; an unlimited mandate over private property or hotel operation |
| CEXP | A located 2008 collective-origin and direct operating transfer from Montelanza | Universal consent, later uninterrupted authority, registry status, possession, or a debt substitution in favour of LPB |
| LPB | A later participant/owner-side actor whose position must be established by its own title, contracts, accounts and proceedings | Automatic substitution for either Community's obligations merely because it held units or took part in the exploitation structure |
| Costa Papagayo | A counterparty whose creditor, invoice, payment, settlement and enforcement evidence must be obtained directly | Any conclusion from these instruments alone about the correct debtor or enforceable balance |

## 4. Consequence for the Costa Papagayo reconstruction

The source set creates a defined evidential question: for each claimed Costa Papagayo item, the record must identify the contractual or statutory basis, period, debtor named at the time, authorising organ, invoice/ledger, payment, notice, and any later alleged substitution. A later enforcement record or meeting recital cannot by itself answer that chain.

The 29 May 2012 Owners' Community accounting/bank extract separately records a debit labelled `PAGO A PAPAGAYO` for EUR25,000. That is a lead requiring the underlying transfer, beneficiary account, invoice, receipt and Costa Papagayo ledger. It is not published here as proof of a settled debt or agreement.

## 5. Public access and correction

The public pages link to this edition and give any affected party an equal route to submit an authenticated correction, an authenticated primary copy, or evidence of a later amendment. The fact that a copy was forwarded by email is not treated as a confidentiality restriction. No request or public response is treated as proof of the underlying merits.

## 6. Outstanding source-production requests

1. Certified or authenticated copy of the 1987 title/statutes and the complete, legible annexes.
2. Certified copy of the 29 April 2008 meeting record, CEXP statutes, 21 May 2008 governing-body authority and 26 May 2008 transfer with annexes.
3. Costa Papagayo's invoices, account ledger, receipt for the 2012 payment, any settlement/payment plan and the legal basis for each debtor designation.
4. The full execution file and any document relied on to identify or substitute the debtor.
