Sun Park / MYND branch
2020 presentation; 20 July 2021 certification; 21 July filing in the insolvency; reactivation/title; RICPE/RIC; HNT; GC/836/P06; ERDF; current operation.
DISTINCT BRANCHES · DOCUMENTED CONNECTIONS · NO AUTOMATIC ASSET FLOW OR LIABILITY
The analysis preserves distinct legal persons, assets and transactions within one connected inquiry. RICPE, AGM, Pamalexsha and Acosta Matos links are documented; any transfer of Sun Park/MYND/LPB/Matkator assets or value into Orion must be traced separately. FMMM’s trajectory is one important inquiry, not the exclusive connection.
The analysis distinguishes two interconnected branches: the Sun Park/MYND asset, title, financing, public-support and operating branch, and the later Orion formation, capital, financing, management, related-party and market-admission branch.
They concern distinct legal persons, assets and transactions. They must not be presented as unconnected: the record documents RICPE’s founding and financing relationship with Orion, AGM’s management role, and ownership and governance connections involving Pamalexsha and the Acosta Matos perimeter.
These connections belong within the unitary analysis. They do not, without further evidence, establish that Sun Park assets, income, financing or public support flowed into Orion. Any such transfer, guarantee, collateral use or other economic benefit must be traced specifically.
Orion’s incorporation in June 2023 prevents attributing earlier Sun Park acts to Orion itself. It does not erase the earlier roles of individuals or entities subsequently connected to it. Any allegation concerning concealment, conflicts, misleading disclosure or enabling conduct must be tested against each actor’s knowledge, duties, decisions and conduct, not inferred automatically from association.

2020 presentation; 20 July 2021 certification; 21 July filing in the insolvency; reactivation/title; RICPE/RIC; HNT; GC/836/P06; ERDF; current operation.
Formation by RICPE; initial capital; RICPE participating finance; AGM manager; Portfolio; CNMV consultation.
Platform continuity is verifiable. Any Sun Park/MYND→Orion flow requires bank, accounting, corporate or security evidence.
RICPE incorporated Orion on 16 June 2023 as sole initial shareholder with €60,000 capital.
The issue document describes a 17% RICPE convertible participating-finance component linked to RIC investor funds channelled through RICPE. The 42/19/17/22 versus 42/21/17/20 split must be reconciled.
AGM Canary Asset Management appears as strategic/asset manager under the described 16 February 2024 agreement, subject to the governance stated in the issue document.
Outstanding production: shareholding and capital increases; contracts; approvals; drawdowns; bank records; security; fees; repayments; AGM mandate; decisions; and exact origin/destination of capital.
The controlled audited related-party record documents FMMM’s and the Cogolludo interests in Pamalexsha and Pamalexsha’s interest in AGM. These are ownership connections, not proof of a direct Orion office for every participant or of shared intent.
The same record documents JDAM’s AGM interest, Grupo Patrimonial Acosta Matos’s Orion holding and disclosed Acosta-related construction and service transactions. These economic and governance links are not findings of misconduct.
RICPE’s founding and financing relationship with Orion and AGM’s management role are documented. Each connection must be labelled by its function and date, rather than presented as a single ownership or money-flow chain.
Two different proof questions: documented corporate and economic connections do not, by themselves, trace identifiable Sun Park assets, proceeds, fees, guarantees, collateral or other value into Orion. The latter remains an open, transaction-specific inquiry. Disclosure, conflicts and any alleged enabling conduct also require actor-specific evidence.

Corrections, contrary evidence and exculpatory records remain welcome. Silence is not admission.
How did FMMM enter the Pamalexsha/AGM/Orion perimeter after acting as a paid property administrator in the Sun Park/Community environment?
FMMM’s professional trajectory remains a specific inquiry within the broader documented RICPE, AGM, Pamalexsha and Acosta Matos connections. Each actor’s mandate, knowledge, duties and conduct must be reconstructed separately; personal association alone does not prove coordination or liability:
Appointment, contract, period, fees, powers, document custody and services performed for Sun Park/Community.
What he had to advise, warn, disclose and protect; what he knew about ownership, insolvency, Community, security, works, finance and conflicts; what he actually did.
When the role ended, how he entered Pamalexsha/AGM/Orion, who introduced or appointed him and whether the chronology bears on independence, incentives or conflicts.
Professional formulation: determine whether FMMM adequately discharged his paid duties of advice, diligence, warning, information and protection in relation to Sun Park, and establish how and under what circumstances he moved into the later perimeter. “Failed miserably” is not used as a substitute for proof.
FMMM’s, Pamalexsha’s or another person’s later presence does not make Orion responsible for Sun Park acts.
No claim is made that MYND revenue, HNT finance, regional subsidy, ERDF or LPB/Matkator value financed Orion.
JDAM, Shaila, Antonio, AGM, RICPE, Orion and every person/entity retain separate responsibility and knowledge absent specific proof.
Is there any contract, account, dividend, fee, guarantee, security, valuation, track record, refinancing, asset or revenue specifically connecting Sun Park/MYND/LPB/Matkator with Orion? The RICPE→Orion architecture is documented; the specific patrimonial bridge must be proved or excluded.
Portfolio confirmed an internal investigation involving data collection, examination of different sources and a completed assessment. CNMV received 2024136159 and said it would be processed as a consultation; a later notification references 2024174266. Workpapers, authority contacts, decision, consultation outcome and any corrective action remain open.
