DOCTRINAL CROSSWALK · BUSINESS SUCCESSION · CORPORATE CRIMINAL LIABILITY · 18 SEP 2026
A connection that had been sitting in plain sight: the published work of Bernardo del Rosal Blasco and Pablo Lightowler-Stahlberg Juanes on transfer of criminal responsibility —and civil liability derived from crime— in business succession, using the FROB intervention in BFA and Bankia as a particular case study, overlaps with several questions that Project Sun Rock now needs to keep legally separate.
The intersection
The value of the article is not that “Bankia appears in both matters”. It is the discipline of distinguishing when the asset/credit changes hands, when the legal person changes, and what liability —if any— can follow each route.
prior responsibility first
asset ≠ legal person
CP 130.2 only after its prerequisites close
no automatic successor guilt
civil ex delicto ≠ ordinary civil liability
exact document, entity, date, benefit and successor
Doctrinal source
La transferencia de la responsabilidad penal (y civil, derivada de delito) en los supuestos de sucesión de empresa. Reflexiones generales y análisis de un supuesto particular: la intervención del FROB en BFA y Bankia.
Diario La Ley no. 9126 (2018).
Spanish law expressly addresses transformation, merger, absorption and split of a legal person and separately addresses concealed or merely apparent dissolution.
The question always comes after: was there first an applicable criminal responsibility of the legal person?
Official 2012 resolutions document the BFA-Bankia restructuring plan, FROB's position and recapitalisation operations. The article uses that setting to analyse the succession problem.
The connection was already latent
The party complaint in the DI 248/2018 source family already described Caja Insular / BFA / FROB / Bankia → SAREB → Promontoria / Project Meridian → CAM. It is a party allegation, not a Fiscalía finding or judicial determination.
The reconstruction supplied during the 2022 professional work/review expressly carried the credit chain Bankia → SAREB → Promontoria → CAM. This page does not publish private correspondence and does not claim that BFA, FROB or the 2018 article were consciously connected to Sun Rock at that time.
The current review recognises that the Del Rosal/Lightowler publication supplies a specialist lens for separating asset assignment, the assignee's own conduct and succession of legal-person responsibility.
Important legal correction. The 2018 complaint stated more categorically that the Bankia→SAREB transfer was improper because the collateral was hotel/tourism property. The controlling 2026 formulation is narrower: the transfer occurred within the statutory bank-restructuring framework; the asset-specific eligibility category, threshold, classification, valuation, transferred data and exact RD 1559/2012 art. 48 route still have to be closed. This page does not turn the 2018 formulation into a proved fact.
Three rails
| Rail | Chain | Question it answers | What must NOT be presumed |
|---|---|---|---|
| A · legal person / product | Caja Insular → BFA → Bankia → CaixaBank | Corporate succession, surviving obligations and —only if an applicable corporate criminal responsibility is proved— the effect of the structural transaction. | That all historic criminal or civil liability automatically passes to a successor. |
| B · mortgage asset / NPL | Bankia → SAREB → PH122 → CAM | Who held the credit, what was assigned, balance, security, defences, notices, price, servicing, decisions and procedural substitution. | That an assignment of credit is by itself a merger, absorption or split; or that it carries criminal guilt. |
| C · CAM succession | CAM S.A. → HNT (economic unit) → later total demerger beneficiaries | Which asset, liability, litigation, contingency or responsibility moved to which beneficiary and under what instrument. | That “economic continuity” substitutes for proof of the exact corporate act or prior responsibility. |
Control point: the current project reconstruction keeps these rails separate. The same credit appearing across institutions or proceedings does not turn all entities into one person or one automatic chain of criminal responsibility.
Lender in possession
Project Sun Rock uses “lender in possession” / “creditor in material control” as a functional comparative description. It is not presented as a standalone formal status created by Spanish insolvency law. The question is factual and legal: if a secured creditor crosses from ownership/enforcement of the credit into acts of material possession, access, exclusion, security, operation, works, exploitation or disposition, what authority existed for each act and what consequences follow from its own conduct?
Criminal attribution requires actor, capacity, knowledge, required intent, act/omission, benefit and effect. NPL purchase price or later benefit does not replace those elements.
There must be an eligible offence, the legally required natural-person attribution channel, direct or indirect corporate benefit and the historically applicable control/supervision regime. It is not a universal clause.
Once a legal person's criminal responsibility is established, if applicable, the analysis asks whether transformation, merger, absorption, split or concealed/apparent dissolution activates the succession rule.
Where the real overlap sits
| Sun Rock node | Event type | Connection to the 2018 doctrine | Missing / controlling document |
|---|---|---|---|
| Caja Insular → BFA → Bankia | Historic banking restructuring / succession | Directly adjacent to the FROB-BFA-Bankia universe used in the article. | Exact instruments applicable to the two LPB facilities and allocation of obligations. |
| Bankia → SAREB | Statutory asset transfer | The critical distinction: asset transfer does not automatically equal criminal succession of the legal person. | Asset schedule, classification, valuation and exact statutory route. |
| SAREB → PH122 → CAM | Assignments of credit | Primarily asset ownership and each assignee's own conduct; CP 130.2 is not presumed. | Complete deeds, schedules, price, powers, diligence, servicing and decisions. |
| Bankia → CaixaBank | Corporate succession | Classic succession question: what legally existing responsibility can survive the structural transaction. | Merger instruments and mapping of the concrete obligations/causes. |
| CAM → HNT | Economic-unit segregation / described universal succession | Potential engagement of art. 130.2 categories only after the corporate act and prior responsibility are established. | Project, deed, balance, passive, litigation and contingency schedules. |
| Later total demerger of CAM | Split among multiple beneficiaries | The most literal parallel: “split/demerger” is expressly named in art. 130.2. | Demerger project, deed and allocation schedules for each beneficiary. |
Questions for a possible consultation
P0 documents
LPB credit schedule, eligibility category, valuation, impairment, transferred data and exact statutory route.
Complete deed, schedules, price, security, powers, due diligence, notices, decisions and transaction rationale.
Projects, deeds, balances and asset, liability, litigation, contingency and residual-right schedules.
Evidential boundary: a discounted assignment, later recovery, dación, adjudication or corporate reorganisation may be entirely lawful. None of those circumstances by itself proves fraud, falsity, unfair administration, punishable insolvency or corporate criminal responsibility.
