PRIMARY VALUATIONS · 31 OPERATIONAL TITLES · NON-CONVALIDATION · LATER REUSE
One hotel, four valuation products, and the €400,000 branch that became a “golden trigger”.
The record does not support treating the reception, service premises, pools, gardens and solarium as expendable leftovers. ACTÚA itself described the 262-title complex as one functional unit and the 31 titles as common operational equipment. GESVALT valued the hotel as one exploitation. This page publishes the source documents and separates fact, professional opinion, inference and Gil Marer’s criminal allegation.
The three numbers must not be compared as if they answered the same question
Comparison control: ACTÚA, the GESVALT RICS valuation, the GESVALT ECO valuation and GESVALT’s critical review had different commissioners, purposes, assumptions and dates. Their headline figures are not direct arithmetic substitutes. They are directly comparable on perimeter, inspection, methodology, functional dependence and the warnings each report records.
What the reports actually say
| Control | ACTÚA | GESVALT RICS | GESVALT ECO | GESVALT critical review |
|---|---|---|---|---|
| Date / client | 2018 material used by CAM. | 1 Mar 2018; commissioned for Aweswell’s internal and financing work. | 7 Jun 2018; mortgage-purpose certificate after 23 May inspection. | 2018 forensic review of ACTÚA. |
| Perimeter | Values the 262-title complex as a “single functional unit”, then allocates values to 31 requested titles. | The hotel as an operating whole. | 262 grouped titles forming one exploitation unit. | Tests ACTÚA’s inputs, method and condition assumptions against contemporaneous evidence. |
| Method / use | Replacement-cost exercise with 57.14% physical depreciation; its 31-title total was later used in the liquidation architecture. | Market value: €26.4m. | Mortgage value: €25,647,179.50, conditioned on grouping. | Says replacement cost is more remote from market value and identifies incomplete or imprecise cash-flow inputs. |
| Condition evidence | Occupation unknown; interior access below 100%; “at least 61” unrefurbished units attributed to supplied information. | Inspection-led operating-hotel assessment. | Inspection on 23 May 2018. | Approximately 44 apartments poor; the rest usable. Challenges uniform depreciation and ACTÚA’s room-rate assumptions. |
| Operational dependence | Calls the 31 titles reception, restaurant/bar, service/maintenance, pools, gardens and “common equipment and facilities”; says they should be grouped. | Values a working hotel, not isolated fragments. | Value is conditional upon title grouping into one exploitation. | Tests whether ACTÚA represents the complex and market evidence reliably. |
ACTÚA’s internal control: it says fincas 8653 and 8654—the pool and solarium areas—are a sine qua non for tourist operation and that their value had already been computed in the apartments. That is difficult to reconcile with treating the 31-title branch as a self-contained, non-duplicative measure of the economic loss caused by separating control of those assets.
Why the branch was worth more than a standalone price
The central issue is control, not merely the sum of registry-unit values. The branch contained the entrance/reception, food-and-beverage and service areas, pools, gardens and solarium. ACTÚA described those assets as common operational equipment; GESVALT treated the properties as one hotel exploitation. Gil’s position is therefore that the hotel’s business value collapses without secure control of the assets required to receive guests and operate it.
This does not make €26.4m the automatic legal value of the 31 titles. It does mean that €489,361.96 cannot safely be treated as a complete measure of prejudice without analysing loss of control, bargaining power, competition, funded-exit feasibility and the value of the remaining 231 titles after separation.
The “golden trigger”: the practical effect began in 2018, not only in 2022
“Golden trigger” is Gil Marer’s forensic and economic characterisation, not a statutory term or judicial finding. It describes a transaction that gave CAM an early operational-control position and a €400,000 valuation/transaction anchor that was later reused in the liquidation structure.
| Date | Primary record | Significance |
|---|---|---|
| 28 Nov 2018 | Protocol 2150 separated and transferred 31 operational titles from LPB to CAM for €400,000. | CAM obtained the branch before the later adjudication and while a funded exit was being pursued. |
| 24 Oct 2019 | The court set aside the relevant procedural step and refused convalidation of the separation and sale because it lacked judicial authorisation. | The order did not validate the deed. It is not, by itself, a criminal ruling or a complete conveyancing reversal. |
| 2019–present record | No located controlled document completes the required unwind: refund, reconveyance, Registry cancellation, tax reversal and estate-ledger reconciliation. | The missing enforcement chain is an evidence gap to be produced, not a licence to assume either perfect survival or perfect extinction of every effect. |
| May 2021 / 2022 | The tender/authority and final transaction again used a separate €400,000 locales/pools/solarium branch. | This affirmative reuse shows that the 2018 structure and price anchor persisted in the liquidation architecture. The practical advantage was not created for the first time in 2022. |
Judgment and implementation are different questions. The 24 October 2019 order had a real effect: it refused convalidation and restored the competition route. But it was not a self-executing global unwind and does not itself prove refund, reconveyance, Registry cancellation, tax correction or estate-ledger restoration. The defensible finding is not that the judge made an empty gesture; it is that the later chain implementing all those consequences has not been located. The affirmative 2021/2022 reuse of the same branch and the same €400,000 makes that implementation gap material.
Gil’s alleged mechanism: detach the operational choke points; obtain early control; leave the non-convalidated deed without a located completed unwind; then carry the same branch and price into the later sale structure. He asks Fiscalía to investigate whether that sequence was deliberate disloyal administration and whether the Administrator’s knowledge of ACTÚA’s functional-unity language and the contrary GESVALT material establishes knowledge or conscious disregard.
Cajasiete remains an open production lane: Gil states that CAM raised approximately €1m against the locales shortly after the €400,000 acquisition. No mortgage deed or current certified Registry extract proving lender, amount, date and charged titles has yet been located in the controlled public bundle.
Consequences for the Administrator and Juan Tomás Parrilla
The Administrator
The Administrator treated the 31-title branch as outside the suspension affecting the mortgaged apartment fincas; LPB challenged that construction, and the court later refused to convalidate the deed because prior authority was absent. As controller of the disposition, account and estate reporting, the implementation question bears directly on his conduct: refund, reconveyance, Registry, tax and ledger evidence must be produced, and any continuing control or economic advantage after non-convalidation must be determined.
He also reported the €400,000 becoming liquid and paying his own remuneration; the located record does not complete the unwind; he later reported paying Parrilla €26,750; and he stood to face less effective resistance if owner-side representation weakened. Gil alleges that this was an over-the-line intervention in the lawyer–client relationship linked to a false offer of “peace”, not merely a fee-arithmetic dispute.
Juan Tomás Parrilla
Gil alleges actual knowledge, or alternatively conscious avoidance, by Parrilla concerning the alleged criminal origin and strategic use of the money. Parrilla is not pleaded as a chance recipient with no connection to the file. The allegation rests cumulatively on his specialist insolvency mandate; the July 2016 proposed burofax warning of alleged Community-organ fraud; the June 2017 conflict over a further burofax; the 2018 valuation, control and liquidation disputes; LPB’s challenge to Protocol 2150; the 2019 non-convalidation while he remained counsel; his own written fee position; and the 2020 route in which an Administrator contact combined “peace”, payment assurance and the handover to incoming counsel.
Professional specialisation does not establish mens rea by itself, but “receipt alone” is not an answer to this allegation because receipt alone is not its basis: direct exposure to the entire sequence is. That is the knowledge proposition Gil asks investigators to test and that the documentary chronology can support, subject to full criminal proof.
The legal conclusion is not predetermined: Article 301 still requires proof of its knowledge or serious-negligence elements, and no criminal judgment presently establishes them. Gil calls on Fiscalía and ICALPA to test the allegation by obtaining the invoice, account debit, estate ledger, authority, disclosure, communications and any restitution record.
