## Controlling vocabulary

Do **not** reduce the 2018 structure to a generic `rescue package` unless quoting an older source.

Use:

> **ONA-centred commercial exit and operational-normalisation package**

or, where the actor architecture matters:

> **ONA Hotels-centred coordinated exit architecture**

or, where the full scope matters:

> **commercial normalisation, refinancing, hotel-operation and insolvency-exit architecture**.

ONA/Clubotel is the **operating anchor** in the source set, not automatically the legal or financial leader of every component.

## Actor / property / exploitation rule

Do not collapse the 2018 perimeter into `LPB = the hotel = all property = the operator`.

The controlled separation is:

- **Aweswell** — shareholder / investor-side company;
- **LPB** — insolvent debtor and, functionally, principal property-owning company within a mixed-ownership complex;
- **other owners** — legally distinct property outside LPB;
- **Comunidad de Propietarios** — co-ownership/governance layer;
- **CEXP and historical lessee/operator structures** — separate exploitation layer;
- **Pink / Spanish Monterecco** — separate operator/lessee company relevant to the 2012 rent branch;
- **Clubotel La Dorada / ONA Hotels** — intended 2018 professional operating anchor;
- **external financiers** — separate finance layer;
- **Daniel Irigoyen / Cuatrecasas / other counsel** — legal/transaction coordination and documentation.

A later 21-Jul-2021 certified property schedule records 262 properties: 190 LPB, 54 CAM and 18 third parties. Use this as structural corroboration that LPB held a majority but not the whole property perimeter. Do **not** back-project that exact ratio to June 2018 without a 2018 title schedule. Preserve `property count ≠ built area ≠ value ≠ voting power`.

The signed 6-Jun-2018 hotel-industry lease facially places the operator-side contract with **Clubotel La Dorada, S.L. (ONA Hotels)** and the lessor-side with the Comunidad de Propietarios, while reciting the distinct historical CEXP exploitation layer. That signed document makes the ownership/governance/exploitation separation concrete.

## Daniel Irigoyen role / status rule

Do not describe Daniel Irigoyen as merely `ONA's lawyer` unless a retainer proves that narrower role.

His contemporaneous 13-Jun-2018 account says he presented himself before the Judge **as lawyer** tasked with solving the situation and coordinating investor, shareholder company, insolvent company and hotel operator.

Official controls support the following historical description:

- BOE-A-2013-7716 placed Magistrate Daniel Irigoyen Fujiwara in voluntary leave under art. 356.c LOPJ effective 1-Sep-2013;
- the official judicial seniority list closed 31-Mar-2018 records him `E.V. 356.c` and `ESP. MERCANTIL`;
- BORME-A-2018-47-08 records his admission as professional partner of De Pasqual & Marzo Abogados SLP on 28-Feb-2018.

Public-safe shorthand:

> **Daniel Irigoyen, magistrado de carrera y especialista mercantil que constaba en excedencia voluntaria y que en 2018 actuaba como abogado/coordinador jurídico de la estructura de salida.**

## Formal-JV rule

The commercial architecture may be described as an `alliance`, `coordinated exit initiative` or `exit architecture`.

Do **not** call it a formal legal `JV / joint venture` unless a formal JV/shareholders/consortium agreement is located. ONA Hotels was the operating anchor; Aweswell/LPB were on the shareholder/debtor/property side; Matkator, financiers and advisers occupied distinct roles.

## Financing rule — no single-lender dependency

The controlled evidence supports:

- parallel and successive external finance routes before and after 13 June 2018;
- a June route that was advanced but materially conditional;
- contemporaneous legal treatment of interim/provisional collateral before an LPB mortgage could be granted;
- a later **executed Binding Term Sheet**, signed in August 2018 and transmitted in the September financing thread;
- that later term sheet expressly separating `Security Package on closing` from `Security Package once the Company exits liquidation`;
- an undertaking to create the LPB mortgage after exit; and
- continued lender-lawyer work on loan/security documentation.

For ordinary public communication, **do not identify the lenders merely to prove that finance routes existed**. Lender identity and confidential pricing/covenants should remain in the private evidence corpus unless materially necessary to a later legal or public proposition.

Do not upgrade `parallel and successive finance routes` into `multiple unconditional committed standby facilities` unless the exact native instruments prove that stronger status.

## Conditions / staged-security source-status rule

The project must preserve three distinct layers:

1. **VERIFIED TRANSACTION STRUCTURE:** provisional/interim security before exit; executed later term sheet separating closing security from post-exit LPB mortgage/security; continued financing/security-document work.
2. **GIL MARER / AWESWELL PARTY POSITION:** the conditions were capable of being met and the required security could be delivered progressively as the transaction advanced; staged collateral is ordinary commercial structuring and should not be misdescribed as absence of finance.
3. **OPEN PERFORMANCE LEDGER:** the exact date and status of every condition precedent, security delivery/execution, waiver, lender approval, court/AC output, final facility, drawdown, expiry or non-completion reason for each route.

Do not silently upgrade layer 2 into layer 1. Equally, do not erase the documented staged-security architecture merely because the route-by-route completion ledger remains open.

## Staged-security rule

The commercial architecture itself contemplated staged collateral:

`PRE-EXIT / INSOLVENCY STAGE → interim/provisional security over available value and rights`

`POST-EXIT STAGE → LPB mortgage and other company-level security once legally/structurally available`.

This is documentary evidence of **transaction structure**, not automatic proof of drawdown, satisfaction of every condition precedent or lender obligation to fund.

## 2008 → 2011 → 2014 ownership rule

Do not write `Aweswell was Multimatrix's successor company`.

Controlled chain:

- 2008: Alimarket contemporaneously reported a Monte Lanza–Multimatrix agreement presented to the market as a transfer of Sun Park property and operation; exact legal forms/asset completion must be verified from primary transaction documents.
- 1-Dec-2011: **Monterecco Sun Park Limited** acquired all LPB shares from Multimatrix under the controlled acquisition chain.
- June 2014: the same UK company, no. 07716847, changed name to **Aweswell Limited**.

Any broader assertion that Aweswell acquired/subrogated into Multimatrix creditor, economic or recovery rights is a separate instrument-specific proposition.

## 2008 `breach` / `cure` rule

The group alleges that the intended 2008 sale/exploitation architecture was incompletely performed or frustrated and that residual ownership/operation fragmentation persisted.

The current public-safe link to 2018 is:

> **The ONA-centred 2018 architecture was designed to resolve or normalise the same ownership and operating fragmentation that the group traces back to the incomplete/frustrated 2008 Monte Lanza–Multimatrix transaction. The later executed financing structure contemplated potential acquisition of minority-held assets and actions directed at restoring a unitary operating perimeter.**

Do **not** say that the ONA package legally `cured the 2008 breach` until the complete 2008 contract/deed, seller/unit completion schedule and remedy chain establish the specific obligation and cure.

## Calificación use

When this evidence is used against a Calificación allegation or finding, apply:

`ADVERSE PROPOSITION → LEGAL/ECONOMIC LAYER → CONTEMPORANEOUS COMMERCIAL / OPERATIONAL ACTION → PRIMARY SOURCE → EXACT RECIPIENT / FILING → CONDITIONS → ACTOR CAPACITY → RESPONSE / DECISION → EFFECT → LATER CALIFICACIÓN USE`.

The package is strong counter-record evidence against categorical portrayals of abandonment or absence of effort. It is **not** automatic proof that the Judge or AC criminally obstructed a fully funded transaction.

For Pink/rent, do not argue simply that `LPB was a propco so rent did not matter`. LPB could hold lease/rent rights. The stronger question is whether the Calificación/Judgment preserved the legal separation between shareholder, debtor/property owner, operator, hotel-wide exploitation, Community structures and other property owners when attributing rent, non-collaboration and causal prejudice.

## Open evidence already covered by canonical missing-evidence programme

Do not create duplicate missing-evidence entries merely because this gate exists. The principal unresolved items are already captured by ME-047 / ME-053 / ME-055 and the ONA/unitary ledgers, including:

- complete primary 2008 transaction and owner/finca completion schedule;
- complete Multimatrix→Monterecco/Aweswell wider-rights chain;
- exact June-2018 title schedule if an exact contemporaneous ownership percentage is needed;
- formal JV agreement, if any, or confirmation that the structure remained contractual/alliance-based;
- exact post-13-Jun conclusion filing, annexes, docket proof and court/AC response;
- AC debt reconciliation/certificate;
- route-by-route condition-satisfaction / waiver / non-completion ledger;
- exact operator/accounting revenue and rent-capacity record relevant to Pink;
- exact ONA↔Clubotel legal/corporate/mandate bridge where necessary.

## Continuity rule

A fresh thread that discusses the June-2018 exit attempt, Daniel Irigoyen, LPB as propco/principal owner, property versus hotel exploitation, ONA, lender readiness, staged security, formal-JV language, minority-unit normalisation, Pink/rent entity separation or the 2008 sale without reading this gate and the 17-Aug unitary analysis is incomplete.
