# Gil / Pink total nullity · AEAT neutrality · Community/Pamanil — 360° reverse-engineering report

**Date:** 22 August 2026
**Method:** test Gil Marer's stated premises against the whole controlled repository, connected-source findings, official law and the strongest adverse case.
**Status:** legal/evidential working analysis; not legal advice, an expert opinion, a corporate act or an adjudicated finding.

## Executive conclusions

1. **Gil's whole-nullity theory is serious but unadjudicated.** It is strongest on absence of LPB authority to transfer CEXP's mandate, common elements or third-party rights. The current evidence more securely supports possible non-opposability and partial ineffectiveness than total nullity.
2. **Total nullity requires indivisibility.** Gil must prove that the essential object was the integrated whole-hotel platform and could not be separated into an LPB-own-unit lease/services component.
3. **The adverse case is substantial.** It includes the 1-February-2012 CEXP notice, LPB's rights in its own units, clause 15 severability, real operation/registration, LPB/Gil's 2014 defence and the 24-November-2015 contract/rent judgment.
4. **The 2015 judgment is the principal procedural obstacle.** Complete pleadings, service/default, finality, appeals and execution are required for LEC preclusion and res judicata analysis. CEXP and non-party owners may present different identity/representation questions.
5. **Pink's NIF was officially revoked in 2019.** Revocation is not extinction. No current rehabilitation, shareholder, administrator, accounts, governance, dissolution or eligibility status is proved. Gil's statement cannot appoint him.
6. **AEAT's 2020 inspection was not caused by the located 2022 Acosta statements.** The statements may have materially influenced the replacement assessment, but the plan, commencement and complement order predate them.
7. **No actor-specific proof presently establishes institutional AEAT conflict, capture or retaliation.** Different AEAT/RIC units, taxpayers, periods and statutory questions may lawfully coexist; cross-unit routing and conflict records remain necessary.
8. **Pamanil did observable things on paper.** The 2011 act proves proposal/approval and administrator participation, but not actual integrated service performance. Gil's fraud theory remains an actor- and act-specific allegation. See the [structured public redacted digest](../evidence/community/ACTA_22JUN2011_PUBLIC_REDACTED_EDITION.md) and [communications index](../evidence/community/COMMUNITY_PAMANIL_COMMUNICATIONS_PUBLIC_DIGITAL_INDEX.md).
9. **The reserved declarant appears generally capable and professionally experienced.** Gil's pressure account is a limited retrospective causal hypothesis, not proof of coercion, incapacity or global unreliability.

## A. Controlling authority chain

Gil's asserted chain is:

`owners entitled to participate → Owners' Community acting lawfully → CEXP as separate explotadora`

“All owners” means the entitled owner universe, not unanimity. The 29-April-2008 source records 84.988% present/represented, 74.90% approval and 10.01% opposition/reservation. CEXP and the Owners' Community are distinct. The scope, duration, unit coverage, voting/proxy validity and power to delegate remain factual/legal questions.

The 2-February-2011 act's reported refusal to decide operation/licence matters as outside the Owners' Community's competence is adverse to any simplistic claim that the Owners' Community itself could operate the hotel. The precise lawful mechanism may involve owners, the Community organ for common/property matters, CEXP's own governance and tourism-law title/majority rules.

## B. 6-February-2012 contract — whole-nullity case and contrary case

### Gil's strongest case

- LPB alone could grant rights in its own units but not CEXP's collective mandate, another owner's unit, common elements or a hotel-wide tourism title.
- If the contract's essential object and cause were the integrated platform, that object may have been unavailable to LPB and unauthorized under Civil Code articles 1259, 1261 and 1271–1275.
- If the authorised and unauthorised components were inseparable, clause 15 would not save an LPB-only component.
- The defect is framed as absence of civil authority over the object, not merely breach of an administrative tourism rule.

### Strongest contrary case

- LPB apparently owned 159 apartments and other assets and could contract over proprietary rights it actually held.
- Canary tourism law contained forms and a majority-recognition mechanism; breach of unitary-operation rules does not automatically produce civil nullity where the special statute provides administrative consequences.
- The signed 1-February CEXP–Monterecco notice says Monterecco acquired the activity title and CEXP activity was subrogated. Signatory authority and scope are decisive.
- Clause 15 expressly provides severability.
- Pink operated, assumed staff/contracts and had a 159-unit/477-bed administrative position.
- LPB/Gil affirmatively defended the contract in 2014.
- Sentencia 268/2015 of 24 November treated the contract as enforceable, resolved it and awarded accrued/future rent.

### Current legal grading

| Theory | Current strength | Decisive missing proof |
|---|---|---|
| No Pink authority over CEXP/common elements/third-party units | Strongest | CEXP constitution/resolution, 1-Feb signatories and scope, owner/common-area schedules |
| Non-opposability to CEXP/non-party owners | Substantial | Party/succession/representation identities and exact relief |
| Partial nullity/ineffectiveness | Substantial | Clause-by-clause object, severability and practical allocation |
| Whole nullity *ab initio* | Serious but hardest | Essential indivisible object/cause; defeat authority/ratification; overcome 2015 judgment/preclusion |
| Criminal bad-faith reliance by AC/judge/adversaries | Not proved | Knowledge of decisive defect, intentional falsity/concealment, causation, benefit and offence-specific intent |

Official framework: [Civil Code](https://www.boe.es/buscar/act.php?id=BOE-A-1889-4763) arts. 6.3, 1255, 1257, 1259, 1261, 1271–1277 and 1303; [Civil Procedure Act](https://www.boe.es/buscar/act.php?id=BOE-A-2000-323) arts. 222, 400 and 408; [Canary Law 5/1999](https://www.boe.es/buscar/doc.php?id=BOE-A-1999-7982).

## C. Instrumentalisation map

| Actor/lane | Located record / attributed use | What is not proved |
|---|---|---|
| Administrator concursal | Sued to resolve/enforce contract and later used operation/non-payment in insolvency narrative | Knowledge of whole nullity, dishonest purpose or control of Pink |
| 2015 court | Enforced/resolved contract | Express adjudication of CEXP authority or total *ab-initio* nullity on full pleadings |
| Sentencia 163/2023 | Rejected contract-entry culpability but accepted later rent/non-payment branch; appealed | Final civil validity of contract or criminal purpose |
| JV 1260/AP 89 | Minority plaintiffs treated Monterecco as operator/possessor of 18 claimant units; adverse period finding | Universal hotel-wide authority or total contract validity |
| Community/Pamanil | Located records attribute debt, vote, administration, litigation and maintenance documents to this lane | Lawful integrated performance, correct debt, intent or criminality |
| CAM/Acosta successors | Later access/possession/security records may have interacted with older status findings | Precise reliance or benefit; proof they procured 2015/2023 decisions or specifically relied on 6-Feb contract |
| AEAT | Used a multi-source operation narrative; the located later Acosta material appears capable of influencing the replacement assessment | Decisive or quantified reliance; Acosta origin of 2020 inspection; sole reliance; institutional conflict or criminal coordination |

## D. Who could object to whole nullity?

| Actor | Plausible interest/standing | Likely strongest objection or incentive |
|---|---|---|
| LPB / insolvency estate | Contract party/owner under insolvency powers | Nullity may defeat rent, but LPB historically defended validity and restitution may create liabilities |
| Pink | Contract party | Could favour nullity defensively; faces preclusion, actual performance and reciprocal accounting |
| Administrator concursal | Estate representative within LPB perimeter | Preserve judgment, estate credit and consistency; no automatic control of Pink |
| CEXP | Claimed holder of collective mandate | Strong claimant for lack of authority/non-opposability; 1-Feb notice is major obstacle |
| Participating owners | Own units/CEXP rights | Prevent unauthorised use; individual standing for entire inter-partes nullity must be analysed |
| Owners' Community | Common elements/governance | Deny unauthorised use; cannot automatically claim CEXP's exploitation rights |
| JV 1260 owners / CAM successors | Unit possession and derivative rights | Preserve possession/judgments; scope limited to proved rights |
| Tourism administration | Regulatory/statutory powers | Registration, sanction or revocation rather than ordinary civil-party nullity |
| Tax authorities | Correct tax characterization and restitution | Reconstruct actual activity and taxpayer; no personal “objection” assumed |
| Pamanil/Community office-holders | Common-function and record interests | Deny Pink authority; does not necessarily erase LPB–Pink contract entirely |

The concurso judge does not have personal standing: the judge decides matters properly raised. Adverse adjudication is not a personal objection or proof of bad faith.

## E. Consequences if total nullity succeeded

Civil Code article 1303 ordinarily requires reciprocal restitution. A result cannot simply delete the rent branch while preserving only favourable expenditure. The accounting must include:

- revenues/benefits and payments received;
- possession/use value;
- staff, utilities, cleaning, maintenance and preservation costs;
- community-cost payments and legally available set-off;
- improvements and deterioration;
- IGIC/tax consequences and third-party bookings/contracts; and
- overlap with Sentencia 268/2015 and the €3,032,010.34 calificación award.

Unjust-enrichment, agency or necessary-preservation claims may survive nullity. Double recovery must be prevented.

## F. AEAT chronology, neutrality and catalysts

| Date | Controlled event | Causal limit |
|---|---|---|
| 29 Jul 2020 | Pink included in inspection plan | Original selection trigger remains unknown |
| 30 Nov / 2 Dec 2020 | Inspection commenced | Predates Gil's RICPE alert and all located Acosta statements |
| 13 Jan 2021 | Gil's AEAT RICPE complaint registered | Proves receipt; not internal routing, retaliation or inspection origin |
| 7 Oct 2021 | First act provisional result €0 | Important baseline; reasons and evidential matrix needed |
| 4 / 15 Mar 2022 | Complement ordered / notified | Predates 22-Mar/6-Apr located Acosta contact |
| 22 Mar / 6 Apr 2022 | Located Acosta-channel contact/diligence | Could influence replacement assessment; named Laura, male unidentified in primary diligence |
| 17 Nov 2022 | RIC report referenced | Full report/file 02/2022 missing |
| 15 Jan 2024 | AEAT report adopts multi-source compatible narrative and notes possible temporal errors | Material reliance, not sole-source proof |

### Present conclusion on neutrality

No located evidence proves a personal interest, prior service, family/associate link, litigation interest, witness role or other actor-specific abstention cause for the relevant officials. The fact that tax institutions dealt with RIC/RICPE and separately inspected Pink does not itself establish conflict. Under [Law 40/2015](https://www.boe.es/buscar/act.php?id=BOE-A-2015-10566) art. 23, an abstention question must be individualized; non-abstention does not automatically invalidate an act.

Legitimate audit questions remain:

1. what risk/referral selected Pink in 2020;
2. how Gil's 13-Jan-2021 RICPE alert was logged, routed and separated;
3. what caused the 2022 complement after the provisional-zero act;
4. which officials/units handled Pink, RICPE/RIC, Sun Park/MYND, CAM/HNT and GC836;
5. whether any official had a personal conflict, earlier service, witness/expert role or litigation interest;
6. what source first identified Laura and the unnamed male and what verification occurred;
7. whether the Acosta account changed amounts, periods, entity attribution or method;
8. the full RIC file 02/2022 and 17-Nov-2022 report; and
9. whether funding/incentive decisions and Pink tax attribution were factually reconciled, not merged.

AEAT's statutory inspection powers and evidence duties appear in [Ley 58/2003](https://www.boe.es/buscar/act.php?id=BOE-A-2003-23186), arts. 141–144. An adverse result alone is not proof of bias.

## G. Pink corporate status and Gil's proposed administration role

[BOE-A-2019-14965](https://www.boe.es/diario_boe/txt.php?id=BOE-A-2019-14965) records revocation of Pink's NIF B76564517, Registry date 2 September 2019. Revocation is not extinction; LGT additional provision 6.4 preserves obligations and imposes restrictions. Rehabilitation is governed by [RD 1065/2007](https://www.boe.es/buscar/act.php?id=BOE-A-2007-15984) art. 147.8.

Recent DGSJFP resolutions state that continuing revocation can close the Registry even to administrator cessation/appointment: [21-April-2026](https://www.boe.es/diario_boe/txt.php?id=BOE-A-2026-16220) and [17-February-2026](https://www.boe.es/diario_boe/txt.php?id=BOE-A-2026-12683).

Safe sequence:

1. certified current/historical Registry note H TF 49739;
2. AEAT certificate of NIF status and cause;
3. if live, rehabilitate and cure the cause/accounts closure;
4. certify current shareholder and articles;
5. verify Gil's eligibility/finality/appeal/Registro Público Concursal status;
6. choose replacement or a different joint/solidary/board structure;
7. valid shareholder decision, acceptance, deed/certification and registration; and
8. only then update census, beneficial owner, bank, digital certificates and powers.

Under the [Companies Act](https://www.boe.es/buscar/act.php?id=BOE-A-2010-10544), appointment is by the competent shareholder organ and becomes effective upon acceptance, with registration duties (arts. 209, 214–215, 223). Gil's declaration is not that corporate act.

## H. Reserved declarant / pressure control

The record supports substantial managerial, documentary, accounting and representative experience and contemporaneous entity distinctions. Gil does not allege general incapacity. His narrower explanation is that formal Pink exposure, overlapping proceedings and pressure may have contributed to limited conflations. Nothing in the reviewed record establishes legal incapacity, act-specific coercion or global inability.

Therefore:

- do not use “duress,” “coercion” or “incapacity” as established legal conditions;
- do not erase the 22-May-2017 signed Pink→LPB access-key instrument;
- separate custody of a physical copy, master/maintenance keys, legal possession and authority to transfer hotel-wide possession;
- preserve the May-2012 correspondence demonstrating entity awareness; and
- test each disputed proposition and act individually.
